Location. The location of Executive’s principal place of employment shall be in the Company’s principal executive offices in [[Address A:Address]]; provided, however, that Executive shall travel and perform occasional services outside of this area as reasonably required for the proper performance of Executive’s duties under this Agreement.

Employment; Title; Duties and Location. The Company hereby agrees to employ Executive, and Executive hereby accepts employment with the Company, on the terms and subject to the conditions set forth herein, effective on the Effective Date. During the Term (as defined in Section 2 below), Executive shall serve the Company as Chief Medical Officer and Head of Clinical Development and shall report exclusively and directly to the Chief Executive Officer. Executive shall perform the duties consistent with Executive’s title and position and such other duties commensurate with such position and title as shall be specified or designated by the Chief Executive Officer from time to time. The Company may enter into loaned services or secondment agreements requiring that Executive provides similar services to Company subsidiaries or affiliates. There is no principal place of performance by Executive of Executive’s duties hereunder and Executive will be entitled to work remotely full-time under the Company’s existing remote working arrangements; provided, that Executive may be required to reasonably travel in connection with the performance of Executive’s duties.

Term: Commencing on the Effective Date and ending on December 31, 2019.

Position; Location. During the Employment Period, the Executive shall serve as Chairman of the Board of Directors of the Company (the “Board”) and as the Company’s President and Chief Executive Officer, shall devote the Executive’s full business attention and time to the business and affairs of the Company and shall use the Executive’s best efforts to perform faithfully and efficiently such responsibilities. The Executive will report directly to the Board. During the Employment Period, the Executive’s services shall be performed in Berwyn, Pennsylvania, subject to reasonable business travel at the Company’s request.

Each Party will bear its own costs and attorneys’ and witnesses’ fees and associated costs and expenses incurred in connection with any proceeding under this ARTICLE 11.

Work Location. During the Term, the primary place for performance of the Executive’s duties and responsibilities shall be the Company’s headquarters in [[Address A:Address]]. The Executive further acknowledges that his position may require business travel from time to time.

Work Location. Executive’s principal place of work shall be located in San Diego, California, with such reasonable travel to other locations on Company business consistent with her position as the Company may direct from time to time.

Position; Location. You will continue to serve as the Company’s Vice President, Finance and Corporate Controller and will be responsible for such duties as are assigned to you by the Company’s Board of Directors (the “Board”) or Chief Executive Officer. This position is full-time. As an exempt salaried employee, you are expected to work the Company’s normal business hours as well as additional hours as required by the nature of your work assignments, and will not be eligible for overtime compensation. You will continue to work out of RAPT’s offices located at 561 Eccles Avenue, South San Francisco, CA 94080. Of course, the Company may change your position, duties, and work location from time to time in its discretion.
