Employment; Title; Duties and Location. The Company hereby agrees to employ Executive, and Executive hereby accepts employment with the Company, on the terms and subject to the conditions set forth herein, effective on the Effective Date. During the Term (as defined in Section 2 below), Executive shall serve the Company as Chief Medical Officer and Head of Clinical Development and shall report exclusively and directly to the Chief Executive Officer. Executive shall perform the duties consistent with Executive’s title and position and such other duties commensurate with such position and title as shall be specified or designated by the Chief Executive Officer from time to time. The Company may enter into loaned services or secondment agreements requiring that Executive provides similar services to Company subsidiaries or affiliates. There is no principal place of performance by Executive of Executive’s duties hereunder and Executive will be entitled to work remotely full-time under the Company’s existing remote working arrangements; provided, that Executive may be required to reasonably travel in connection with the performance of Executive’s duties.

Position. Subject to the terms set forth herein, the Company agrees to employ Executive initially in the position of Chief Medical Officer, and Executive hereby accepts such employment. The Company reserves the right to change or modify Executive’s title and/or duties as business needs may require. During the term of Executive’s employment with the Company, Executive will devote her best efforts and substantially all of her business time and attention to the business of the Company.

Positions and Duties. Effective as of the Effective Date, Executive will serve as the Company’s Chief Medical Officer. Executive will render such business and professional services in the performance of Executive’s duties, consistent with Executive’s position within the Company, as will reasonably be assigned to Executive by the Company’s Board of Directors (the “Board”) and the Chief Executive Officer. The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

Roles and Duties. Subject to the terms and conditions of this Agreement, Company shall employ Executive as its Chief Medical Officer reporting to Company’s Chief Executive Officer (“CEO”). The Executive shall have such duties and responsibilities as are reasonably determined by the Board of Directors and are consistent with the duties customarily performed by a Chief Medical Officer of a similarly situated company in the United States. Executive accepts such employment upon the terms and conditions set forth herein, and agrees to perform such duties and discharge such responsibilities to the best of Executive’s ability. During Executive’s employment, Executive shall devote all of Executive’s business time and energies to the business and affairs of Company. Notwithstanding the foregoing, nothing herein shall preclude Executive from # performing services for such other companies as Company may designate or permit; # serving, with the prior written consent of the Board, which consent shall not be unreasonably withheld, as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of non-competing businesses or charitable, educational or civic organizations; # engaging in charitable activities and community affairs; and # managing Executive's personal investments and affairs; provided, however, that the activities set out in clauses (i), (ii), (iii) and (iv) shall be limited by Executive so as not to materially interfere, individually or in the aggregate, with the performance of Executive's duties and responsibilities hereunder.

EMPLOYMENT. As of the Effective Date, the Company hereby employs Executive and Executive hereby accepts employment as Chief Medical Officer of the Company upon the terms and conditions of this Agreement.

Title/Responsibilities. Executive hereby accepts employment with the Company pursuant [[Organization A:Organization]] terms and conditions hereof. Executive agrees to serve the Company in the position of Chief Medical Officer. Executive shall have the powers and duties commensurate with such position, including but not limited to hiring personnel necessary to carry out the responsibilities for such position as set forth in the annual business plan approved by the Board of Directors.

Positions and Duties. The Company hereby agrees to employ Executive, initially as its Senior Vice President, Head of Clinical Development, and Executive hereby agrees to serve the Company in such capacity, during the Employment Term. It is the Company’s intention to promote the Executive to the position of Chief Medical Officer no later than the end of 2019 providing he has met the responsibilities outlined in this employment agreement; it being understood that in no event shall its failure to so promote Executive constitute a breach of this Agreement. Executive will render such business and professional services in the performance of his duties, consistent with Executive’s position within the Company, as will reasonably be assigned to Executive by the Company’s President and Chief Executive Officer (the “CEO”). The period of Executive’s employment under this Agreement is referred to herein as the “Employment Term.”

POSITION/DUTIES. The terms of this Agreement shall govern the Executive’s employment with the Company as Chief Medical Officer, effective December 4th, 2012 (the “Commencement Date”). In this position, the Executive shall report to the Company’s Chief Executive Officer (the “CEO”) and the Board of Directors of the Company (the “Board”) and shall have such duties, authorities and responsibilities as are customary with his position (subject to the control of the Company’s CEO and the Board). The Executive agrees to devote his full business time, best efforts, skill, knowledge, attention, and energies to the advancement of the Company’s business and interests and to the performance of his duties and responsibilities as an employee of the Company. Notwithstanding the foregoing, the Company agrees that the Executive may serve on such boards of directors as the Board may agree.

Services. The Executive will be employed by the Company initially as its Chief Medical Officer, reporting to the Company’s Chief Executive Officer, and shall perform such duties as are consistent with a position as chief medical officer (the “Services”). The Executive agrees to perform such Services faithfully, to devote Executive’s full working time, attention and energies to the business of the Company and, while Executive remains employed and subject to the terms of this Agreement, not to engage in any other business activity that is in conflict with Executive’s duties and obligations to the Company.

Position. During the Term of Employment, the Executive shall serve as the Chief Medical Officer of the Company, working out of the Company’s office in [[Address A:Address]], and travelling as reasonably required by the Executive’s job duties.

NATURE OF EMPLOYMENT/DUTIES. Executive shall serve as Chief Medical Officer of the Company and shall have such responsibilities and authority as the Company may designate from time to time consistent with Executive’s title and position.
