Location of Collateral. All tangible items of Collateral, other than Inventory in transit and items of Collateral with an aggregate value not in excess of $2,500,000, shall at all times be kept by Borrowers at the business locations set forth in [Schedule 8.6.1], except that Borrowers may # make sales or other dispositions of Collateral in accordance with [Section 10.2.6]; and # move Collateral to another location in the United States, upon 30 days (or such lesser period as Agent may agree) prior written notice to Agent (which notice shall be deemed to supplement [Schedule 8.6.1]).

Duties and Location. Employee shall perform such duties as are required by the Company’s Chief Executive Officer, to whom Employee will report. Employee shall devote substantially all of Employee’s business time and attention to the performance of Employee’s duties hereunder, except for approved vacation periods and reasonable periods of illness or other incapacities permitted by the Company’s general employment policies. Employee shall not engage in any other business, profession or occupation for compensation or otherwise that would conflict or interfere with the rendition of services to the Company, either directly or indirectly.

Duties and Location. Executive shall perform such duties as are customarily associated with the position of Executive Vice President & Chief Financial Officer and such other duties as are assigned to Executive by the CEO. Executive’s primary office location shall be the Company’s headquarters located in San Diego, California. Subject to the terms of this Agreement, the Company reserves the right to reasonably require Executive to perform Executive’s duties at places other than Executive’s primary office location from time to time and to require reasonable business travel.

As of the Closing Date, set forth on [Schedule 6.21] is # a list of all Properties (with street address, county and state where located) and the owner of such Property and # a list of all Unencumbered Properties. Location and Hours. Initially, you will work primarily out of our Seattle office although you may be required to travel from time to time to fulfill your duties. The company’s normal working hours are generally from 9:00 am to 6:00 pm, Monday through Friday however, as an exempt salaried employee, you will be expected to work additional hours as required by the nature of your work assignments without additional compensation.

The Borrower has not changed its name (whether by amendment of its certificate of formation, by reorganization or otherwise) or its jurisdiction of organization the four (4) months preceding the Effective Date, in each case other than any change of name or other corporate change for which notice has been duly provided pursuant to [Section 5.1(o)(vii)].
