Return of Company Property. As soon as possible, Executive shall, to the extent not previously returned or delivered: # return all equipment, records, files, programs or other materials and properly in Executive's possession which belongs to the Company or any of its affiliates, including, without limitation, all computers, printers, laptops, personal data assistants, cell phones, credit cards, keys and access cards; and # deliver all original and copies of confidential and proprietary information (as described in Section 8 of the Employment Agreement) in Executive's possession and notes, materials, records, plans, technical data or other documents, files or programs (whether stored in paper form, computer form, digital form, electronically or otherwise) in Executive's possession that contain Proprietary Information. By signing this Release, Executive represents and warrants that Executive has not retained and has or will timely return and deliver all the items described or referenced in [subsections (a) or (b)])] above; and, that should Executive later discover additional items described or referenced in [subsections (a) or (b)])] above, Executive will promptly notify the Company and return/deliver such items to the Company.

Except as specifically set forth below, to the extent Employee has not already done so, by no later than five (5) business days after the Effective Date of this Agreement (as defined in Section 19 below), Employee shall return to the Company all documents (and all copies thereof) and other property belonging to the Company that Employee has in Employee’s possession, custody or control. The documents and property to be returned by Employee include, but are not limited to all files, correspondence, e-mail, memoranda, notes, notebooks, drawings, records, plans, forecasts, reports, studies, analyses, compilations of data, proposals, agreements, financial information, research and development information, customer lists and customer information (including but not limited to telephone directories, phone books, and any documents containing the name, address, telephone number, email address, or other contact information of any customer or any agent, representative, or employee of a customer), marketing information, operational and personnel information (including but not limited to organizational charts, telephone directories, phone books any documents containing the name, address, telephone number, email address, or other contact information of any employee, agent, or representative of the Company), specifications, code, software, databases, computer-recorded information, electronic records, tangible property and equipment, credit cards, entry cards, identification badges and keys; and any materials of any kind which contain or embody any Confidential and Proprietary Information of the Company (and all reproductions thereof in whole or in part). Employee agrees to make a diligent search to locate any such documents, property and information.

Return of Company Property. I hereby authorize and specifically agree to allow the Company to deduct from my wages or other payments due me, the value of any property (including equipment, goods, or other items provided to me by the Company during my employment or consulting relationship) which I fail to return when requested to do so by the Company, provided that such deduction # does not exceed the cost of the item, # does not reduce my wages below minimum wage or overtime compensation below time and a half, # is not made for normal wear and tear on or nonwillful loss or breakage of the provided item(s), and # is accompanied with a list of all items for which deductions are being made. I agree that at the end of the Term I will deliver to the Company (and will not keep in my possession, re-create or deliver to anyone else) any and all Materials and other property belonging to the Company, its successors or assigns. I agree to sign and deliver a certificate to the Company as to my compliance with this paragraph.

Return of Company Property. Upon the Executive’s termination of employment for any reason, the Executive shall promptly return to [[Bank:Organization]] any keys, credit cards, passes, confidential documents or material, or other property belonging to [[Bank:Organization]], and the Executive shall also return all writings, files, records, correspondence, notebooks, notes, electronic contact lists, and other documents and things (including any copies thereof) containing confidential information or relating to the business or proposed business of [[Bank:Organization]] or the Affiliated Entities or containing any trade secrets relating to [[Bank:Organization]] or the Affiliated Entities, except any personal diaries, calendars, rolodexes, or personal notes or correspondence. For purposes of the preceding sentence, the term “trade secrets” shall have the meaning ascribed to it under the Uniform Trade Secrets Act. The Executive agrees to represent in writing to [[Bank:Organization]] upon termination of employment that he has complied with the foregoing provisions of this Section 10(a).

Return of Company Property. I hereby represent and warrant that I have returned to the Company all of its property that was ever in my possession or control. This property includes, but is not limited to, financial and other business records, personnel records, office and other keys, directories, computer hardware and software, passwords, books, documents, memoranda, and all other records, and copies of all such items.

Return of Company Property. If Employee has not already done so, Employee will return and give to the Company as soon as possible, but no later than five (5) days after the Employment Termination Date, all documents, computer files, and any copies thereof, (whether electronic or otherwise or whether located on a personal or company device), which relate to the Company’s business and which are in Employee’s possession, or under Employee’s direction or control. Notwithstanding the foregoing, the Company and Employee have agreed that Employee can retain computer-related equipment in Employee’s possession including the Company provided iPad and cellular phone; moreover, Employee will be able to retain the cell phone number assigned to such cellular phone. Employee agrees to provide all equipment to the Company to be wiped and agrees to cooperate in that process to ensure all Company-related information is erased and not retained on the equipment.

Return of Company Property. By the close of business on the Separation Date, you agree to return to the Company all Company documents (and all copies thereof) and other Company property which you have in your possession or control, including, but not limited to, Company files, notes, drawings, records, plans, forecasts, reports, studies, analyses, proposals, agreements, financial information, research and development information, sales and marketing information, customer lists, prospect information, pipeline reports, sales reports, operational and personnel information, specifications, code, software, databases, computer-recorded information, tangible property and equipment (including, but not limited to, computers, facsimile machines, mobile telephones, servers), credit cards, entry cards, identification badges and keys; and any materials of any kind which contain or embody any proprietary or confidential information of the Company (and all reproductions thereof in whole or in part). You agree that you will make a diligent search to locate any such documents, property and information by the close of business on the Separation Date.

Confidentiality and Return of Company Property. In accordance with the terms of his/her Employment Agreement, Employee understands and agrees that as a condition of receiving the Severance Package in paragraph 1, all Company property must be returned to Company. By signing this Agreement, Employee represents and warrants that Employee has returned to Company, all Company property, data and information belonging to Company and agrees that Employee will not use or disclose to others any confidential or proprietary information of Company or the Released Parties. In addition, Employee agrees to keep the terms of this Agreement confidential between Employee and Company, except that Employee may tell Employee’s immediate family and attorney or accountant, if any, as needed, but in no event should Employee discuss this Agreement or its terms with any current or prospective employee of Company.

Return of Company Property and Information. Within two (2) business days of the Effective Date (theProperty Return Date”), Executive shall return (and shall not retain any copies in any form) all Company documents, audio or video recordings, photographs, and information (including, without limitation, all Confidential Information, as defined in Section IV.G.(i) below) (collectively, “Company Information”), and any other information stored on personally owned or used computer hard drives, disks, thumb drives or other storage methods, such as cloud storage services, audio files, or video files or in any other form), and any vehicles, badges, Company credit cards, pagers, cell phones, laptops, iPads, computers, software, equipment or other property belonging to the Company. On or before the Property Return Date, Executive shall provide all passwords or other codes used while working at the Company. By signing this Agreement on the Retirement Date, Executive certifies that Executive has returned to the Company any and all Company intellectual property, financial information, and any other Company Information in Executive’s possession, and that Executive has returned and not retained any copies in any form of any Company intellectual property or financial information or Company Information on Executive’s home computer or iPad, in a cloud storage service, on a personal e-mail account, or in the
