Except as otherwise provided in Exhibit B, you affirm that you have, or will have within a reasonable time after the date of this Separation Agreement, returned to the Company, including in reasonable working order, all Company Property, as described more fully below. “Company Property” includes company-owned computers, tablets, mobile phones, motor vehicles, equipment, supplies and documents. Such documents may include but are not limited to customer information, supplier information, product information, financial statements, cost data, price lists, invoices, forms, passwords, electronic files and media, mailing lists, contracts, reports, manuals, personnel files, correspondence, business cards, drawings, employee lists or directories, lists of vendors, photographs, maps, surveys, and the like, including copies, notes or compilations made there from, whether such documents are embodied on “hard copies” or contained on computer disk or any other medium. You further agree that you will not retain any copies or duplicates of any such Company Property.

You affirm that (other than as may be necessary or required to fulfill your duties as a director of the Company only during such time as you may serve as a director of the Company) you have, or will within a reasonable time after the Separation Date, returned to the Company in reasonable working order all Company Property, as described more fully below. “Company Property” includes company-owned or leased motor vehicles, equipment, supplies and documents. Such documents may include but are not limited to customer lists, financial statements, cost data, price lists, invoices, forms, passwords, electronic files and media, mailing lists, contracts, reports, manuals, personnel files, correspondence, business cards, drawings, employee lists or directories, lists of vendors, photographs, maps, surveys, and the like, including copies, notes or compilations made there from, whether such documents are embodied on “hard copies” or contained on computer disk or any other medium; provided, that “Company Property” will not include one laptop computer, one computer printer, one cellphone and one iPad that (as reasonably agreed to and identified by you and the Company) are in your possession as of the date of this Separation Agreement (theRetained Devices”) as long as # you provide the Retained Devices to the Company prior to or on the Separation Date and # reasonably cooperate with the Company in having the Company identify and remove from the Retained Devices any Company information that is confidential or proprietary to the Company (as reasonably determined by the Company), after which the Retained Devices will be promptly returned to you. Provided that the terms and conditions of [subsections (a) and (b)])] of this paragraph are satisfied, you and the Company agree that you may retain the Retained Devices following the Separation Date. You further agree that you will not retain any copies or duplicates of any Company Property (other than as may be necessary or required to fulfill your duties as a director of the Company only during such time as you may serve as a director of the Company).

Return of Company Property. By the Separation Date, you agree to return to the Company all Company documents (and all copies thereof) and other Company property that you have had in your possession at any time, including, but not limited to, Company files, notes, drawings, records, business plans and forecasts, financial information, specifications, computer-recorded information, tangible property (including, but not limited to, computers), credit cards, entry cards, identification badges and keys; and, any materials of any kind that contain or embody any proprietary or confidential information of the Company (and all reproductions thereof). Please coordinate return of Company property with ​. Receipt of the Separation Payments described in Section 1 of this Agreement is expressly conditioned upon return of all Company property.

Return of Company Property. By the Separation Date, you agree to return to the Company all Company documents (and all copies thereof) and other Company property within your possession, custody or control, including, but not limited to, Company files, notes, drawings, records, business plans and forecasts, financial information, specifications, computer-recorded information, tangible property (including, but not limited to), credit cards, entry cards, identification badges, and keys; and, any materials of any kind that contain or embody any proprietary or confidential information of the Company (and all reproductions thereof). Your timely return of all such Company documents and other property is a condition precedent to your receipt of the benefits provided under this Agreement.
