Performance of Executive’s Duties. During Executive’s employment with the Company, and except for periods of illness, vacation, disability, or reasonable leaves of absence or as discussed in Section 1(f) below, Executive shall devote Executive’s full time and attention to the business and affairs of the Company pursuant to the general direction of the Board. The rights of Executive under this Agreement shall not be affected by any change in the title, duties, or capacity of Executive during Executive’s employment with the Company.

Performance of Executive’s Duties. During Executive’s employment with the Company, and except for periods of illness, vacation, disability, or reasonable leaves of absence or as discussed in Section 1(e) below, Executive shall devote Executive’s full time and attention to the business and affairs of the Company pursuant to the general direction of the CEO. Reporting; Performance of Duties. Executive shall report to the Board and all employees of Acadia and the Subsidiaries shall report to Executive or his designee(s). Executive shall devote substantially all of his business time and attention (except for vacation periods and periods of illness or other incapacity, in each case, taken in accordance with the terms of applicable policies and benefit plans of the Company) to the business and affairs of Acadia and the Subsidiaries. So long as Executive is employed by the Company, Executive shall not, without the prior written consent or approval of the Board, perform other services for compensation. Notwithstanding the foregoing, nothing herein shall preclude Executive from # serving, with the prior written consent of the Board, as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of for-profit companies or businesses which are not directly competitive with the Company or any Subsidiary (provided that the prior written consent of the Board shall not be required for Executive to serve as a member of the board of directors or advisory boards (or their equivalents) of the companies listed on Exhibit A), # engaging in charitable activities and community affairs (including serving as a member of the boards of directors or advisory boards (or their equivalents in the case of a non-corporate entity) of not-for-profit, charitable or community organizations which are not directly competitive with the Company or any Subsidiary); and # managing Executive’s personal and legal affairs and his passive personal investments; provided, however, the activities set out in [clauses (i) and (ii) above] shall be limited by Executive so as not to materially interfere, individually or in the aggregate, with the performance of his duties and responsibilities hereunder. For the avoidance of doubt, so long as Executive is employed by the Company, Executive shall not provide any services to any company or business that is directly competitive with Acadia or the Subsidiaries (whether for-profit or not-for-profit) without the prior written consent of the Board.

Performance of Executive’s Duties. During Executive’s employment with the Company, and except for periods of illness, vacation, disability, or reasonable leaves of absence or as discussed in Section 1(e) below, Executive shall devote Executive’s full time and attention to the business and affairs of the Company pursuant to the general direction of the CEO. The rights of Executive under this Agreement shall not be affected by any change in the title, duties, or capacity of Executive during Executive’s employment with the Company.

Performance of Duties. Throughout the term of his employment, and excluding any periods of vacation and sick leave to which Executive is entitled pursuant to the policies of the Company, Executive shall devote his full business time services to the Company and faithfully and diligently perform his duties in conformity with the lawful direction of the Chief Executive Officer.

Performance of Executive’s Duties. During Executive’s employment with the Company, and except for periods of illness, vacation, disability, or reasonable leaves of absence or as discussed in Section 1(e), Executive shall devote Executive’s full time and attention to the business and affairs of the Company pursuant to the general direction of the CEO. The rights of Executive under this Agreement shall not be affected by any change in the title, duties, or capacity of Executive during Executive’s employment with the Company.

Performance of Duties. Throughout the term of his employment, Executive shall devote his full time services to the Company and faithfully and diligently perform his duties in conformity with the lawful direction of the Chief Executive Officer.

Performance of Duties. Executive shall devote Executive’s full business time, energy, loyalty, and ability exclusively [[Organization A:Organization]] the business, affairs, and interests of Company and its affiliates, and shall use Executive’s best efforts and abilities [[Organization A:Organization]] promote the interests of Company and its affiliates and [[Organization A:Organization]] perform the services contemplated by this Agreement and agrees that he will perform his duties faithfully and efficiently subject [[Organization A:Organization]] the directions of the Chief Executive Officer of Company (“CEO”) or such other executive designated by the CEO. Without the prior approval of the CEO or the executive [[Organization A:Organization]] whom Executive reports, Executive shall not, during the Term, directly or indirectly, render any other employment or consulting activities or services, including as a director, [[Organization A:Organization]] any other person, firm, corporation, or other entity; provided, however, that, [[Organization A:Organization]] the extent that the following activities do not conflict with or detract from the performance by Executive of Executive’s duties, Executive may act as a director of, and may also engage in activities involving, charitable, educational, religious, and similar types of organizations, and similar types of activities.

Executive’s Duties. During the Term, Executive shall serve as the Chief Executive Officer of the Company, reporting to the Board of Directors of the Company (the “Board”). In such position, Executive shall have such duties, authority, and responsibilities as shall be determined from time to time by the Board, consistent with his position (the “Services”). During the Term, Executive shall devote substantially all of his business time and attention to the performance of Executive’s duties hereunder and will not engage in any other business, profession, or occupation for compensation or otherwise which would conflict or interfere with the performance of such services either directly or indirectly without the prior written consent of the Board of Directors. Notwithstanding the foregoing, Executive will be permitted to # act or serve as a director, trustee, committee member, or principal of any type of business, civic, or charitable organization and # manage, purchase and/or own investments in any public or private corporation; provided that, the activities described in clauses (a) and (b) do not # result in any breach of Executive’s obligations under Section 5, # interfere with the performance of Executive’s duties and responsibilities to the Company as provided hereunder, or # conflict or compete in any way with the business of the Company or any of its subsidiaries or affiliates.
