Employment and Duties. During the Employment Period (as defined below), Employee will serve in the Position and will report to the CEO. Employee will have such duties and responsibilities that are commensurate with such position and such other duties and responsibilities commensurate with such position as are from time to time assigned to Employee by the CEO. During the Employment Period, Employee shall diligently and conscientiously devote her full business time, attention and energies to the performance of her duties and responsibilities hereunder. Employee shall not engage in any other employment or business activity without the express prior written consent of the CEO and the Board. Employee shall not, directly or indirectly, engage or participate in any activities at any time during the term of this Agreement which conflict with the best interests of the Company. Employee shall work at such times and at such places as required by the Company. Employee shall, at all times during the Employment Period, discharge her duties herein described in consultation with and under the direction, approval and control of the CEO. Notwithstanding any other provision of this Agreement, the CEO reserves the absolute right, in his or her sole and absolute discretion, to make any and all decisions with respect to actions to be taken by Employee in connection with the rendering of her duties in accordance with professional standards.

Employment Status and Duties. Upon the terms and subject to the conditions set forth in this Agreement, Employer hereby employs Executive, and Executive hereby accepts exclusive employment with Employer. During the Term (as defined below), Executive shall serve as President – TagStation/NextRadio and/or in such other positions as may be assigned to Executive by Employer. Executive shall have such duties, functions, authority and responsibilities as are commensurate with such positions. Executive’s services hereunder shall be performed on an exclusive, full‑time basis in a professional, diligent and competent manner to the best of Executive’s abilities. Executive shall not undertake any outside employment or business activities without the prior written consent of Employer. Executive shall be permitted to serve on the board of charitable or civic organizations so long as such services: # are approved in writing in advance by Employer; and # do not interfere with Executive’s duties and obligations under this Agreement. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in [[Address A:Address]]. If Executive is elected as a member of the Board of Directors of ECC, he shall serve in such position without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.9. Executive shall also serve without additional remuneration as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates (including but not limited to the Broadcaster Traffic Consortium, LLC (“BTC”) if appointed to such position(s) by Employer and shall be entitled to the benefit of indemnification pursuant to the terms of Section 17.9.

Employment and Duties. From and after the Effective Date, the Company shall employ the Executive as Chief Executive Officer. In such capacity, the Executive shall perform all such duties as are assigned to him or her consistent with the Executive’s titled position by the [[Organization A:Organization]] of the Company (the “Board”), and shall use his or her reasonable best efforts to promote the interests of the Company. Nothing contained herein shall preclude the Executive from managing personal investments, participating in charitable, community, educational and professional activities, or, with the prior written consent of the Company (which shall not be unreasonably withheld), serving on the [[Organization A:Organization]] (or comparable governing body), including any board committees, of for-profit businesses that do not compete with the Company, provided that such activities do not materially interfere with the performance of his or her duties for the Company.

Duties and Status. The Bank hereby engages Executive as the Executive Vice President and Chief Lending Officer of the Bank for the Term (as defined in Section 3.1 hereof), and Executive accepts such employment, on the terms and subject to the conditions set forth in this Agreement. During the Term, Executive will faithfully exercise such authority and perform such duties on behalf of the Bank as are normally associated with his title and position as Executive Vice President and Chief Lending Officer and such other duties or positions as Executive and the Bank will mutually determine from time to time, including service for such other affiliates of the Company as shall be mutually determined. In the capacity defined in this Section 1.1, Executive will report to the [[Organization A:Organization]] of the Bank and the Company.

Employment and Duties. The Company agrees to employ and the Executive agrees to serve as the Company’s Chief Financial Officer and as the Chief Financial Officer of Parent. The duties and responsibilities of the Executive shall include the duties and responsibilities as the Parent’s and the Company’s Boards of Directors (“Board”) may from time to time assign to the Executive.

Employment Status and Duties. Upon the terms and subject to the conditions set forth in this Agreement, Employer hereby employs Executive, and Executive hereby accepts exclusive employment with Employer. During the Term (as defined herein), Executive shall serve as Chief Executive Officer or such other positions as mutually agreed to by Executive and MediaCo. Executive shall have such duties, functions, authority and responsibilities as are commensurate with such positions. Executive shall report to the Board of Directors of MediaCo (“Board of Directors”). Executive’s services hereunder shall be performed on an exclusive, full-time basis in a professional, diligent and competent manner to the best of Executive’s abilities. Executive shall not undertake any outside employment or business activities without the prior written consent of Employer. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in the New York City Metropolitan Statistical Area as its principal executive offices. Executive shall be permitted to serve on the board of charitable or civic organizations so long as such services: # are approved in writing in advance by Employer; and # do not interfere with Executive’s duties and obligations under this Agreement. Employer hereby approves Executive’s participation as a Board Member of the 501(c)(3) not for profit organization, The Brotherhood Sister Sol, subject to the restrictions set forth in the preceding sentence. During the Term, Executive shall serve as a member of the Board of Directors, subject to election by MediaCo’s shareholders and any required Board of Directors’ approvals. Such Board of Directors service shall be without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 14.9. MediaCo acknowledges Executive has been appointed as a member of the Board of Directors. Executive shall also serve without additional remuneration as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by Employer or another member of the MediaCo Group, and shall also be entitled to the benefit of indemnification for such position(s) pursuant to the terms of Section 14.9. Executive will be subject to all applicable employment and other policies of Employer, as outlined in Employer’s employee handbook and elsewhere.

Employment and Duties. Each of the Companies hereby employs the Executive as Chief Operating Officer (COO) and President - Revenue Management and Digital Monetization (RMDM) throughout the term of this agreement and agrees to cause the Executive from time to time to be elected or appointed to such corporate office and position. The duties and responsibilities of the Executive shall include # the duties and responsibilities of the Executive's corporate office and position referred to in the preceding sentence which are set forth in the respective bylaws of the Companies from time to time and # such other duties and authorities consistent with the Executive's corporate office and position referred to in the preceding sentence and this agreement which the Board of Directors of CSGS (the "Board") or the Chief Executive Officer of CSGS from time to time may assign to the Executive. If the Executive is elected or appointed as a director of CSGS or Systems or as an officer or director of any of the respective subsidiaries of the Companies during the term of this agreement, then he also shall serve in such capacity or capacities but without additional compensation.

EMPLOYMENT AND DUTIES. Subject to the terms and conditions of this Agreement, the Company agrees to employ the Employee, and the Employee hereby agrees to serve the Company, as President and Chief Executive Officer. The Employee shall report directly to the Company’s Board of Directors and shall render to the Company such management and policy-making services of the type customarily performed by persons serving in similar capacities with other employers that are similar to the Company, together with such other duties with which he is charged by the Company’s Articles or Notice of Articles (or any similar governance instruments) and subject to the overall direction and control of the Company’s Board of Directors. The Employee accepts such employment and agrees to devote his best efforts and substantially all of his business time, skill, labor and attention to the performance of such duties. The Employee agrees not to engage in or be concerned with any other commercial duties or pursuits during the Term (as hereinafter defined); provided, however, that the Employee may be involved in a passive capacity in a non-competitive business subject to the prior written approval of the Company’s Board of Directors. Furthermore, the Employee shall assume and competently perform such reasonable responsibilities and duties as may be assigned to him from time to time by the Board of Directors of the Company. To the extent that the Company shall have any parent, subsidiary, affiliated corporations, partnerships, or joint venture (collectively “Related Entities”), the Employee shall perform such duties to promote these entities and their respective interests to the same extent as the interests of the Company without additional compensation. At all times, Employee agrees that he has read and will abide by, and prospectively will read and abide by, any employee handbook, policy, or practice that the Company or Related Entities has or hereafter adopts with respect to its executive officers or its employees generally, including without limitation, the Company’s Insider Trading Policy and Code of Ethics and Business Conduct.

EMPLOYMENT AND DUTIES. During the Employment Period (as defined below), Executive shall be employed by the Company as its [position title]. Executive shall have the normal duties, responsibilities and authority of such position, subject to the power and direction of the Company’s [For Non-CEO Version Only: Chief Executive Officer and its] Board of Directors, to expand or limit such duties, responsibilities and authority. During Executive’s employment, Executive shall devote all of his or her business time and efforts to the performance of Executive’s duties on behalf of the Company, and its respective direct or indirect subsidiaries, whether currently existing or hereafter acquired or formed (collectively, the “Company Group”), and will not engage in or be concerned with any other commercial duties or pursuits without prior written permission of the Company, which may be provided by [For Non-CEO Version Only: the Chief Executive Officer or] the Board of Directors. Notwithstanding the foregoing, nothing herein shall preclude Executive from # serving as an officer or a member of charitable, educational or civic organizations; # engaging in charitable activities and community affairs; # managing Executive’s personal investments and affairs; and, # engaging in limited commercial activities on Executive’s own time or while not expected to be providing services on behalf of the Company; provided, however, that such service and activities do not, in the Company’s reasonable opinion, interfere with the performance of Executive’s duties on behalf of the Company, create any conflict of interest as it relates to the Company, and are not represented in a manner that suggests the Company supports or endorses the services or activities without the advance approval of the Company. Executive shall be responsible for complying with all policies and operating procedures of the Company (that are provided or made available to Executive) in the performance of Executive’s duties on behalf of the Company.

Employment Status and Duties. Upon the terms and subject to the conditions set forth in this Agreement, Employer hereby employs Executive, and Executive hereby accepts exclusive employment with Employer. During the Term (as defined below), Executive shall serve as President and Chief Operating Officer. Executive shall have direct operating responsibility for the radio division or such other duties, functions, authority and responsibilities as are commensurate with the position of President and Chief Operating Officer. Executive’s services hereunder shall be performed on an exclusive, full‑time basis in a professional, diligent and competent manner to the best of Executive’s abilities. Executive shall not undertake any outside employment or business activities without the prior written consent of Employer. It is understood and agreed that the location for the performance of Executive’s duties and services pursuant to this Agreement shall be the offices designated by Employer in the Indianapolis-Carmel-Anderson Metropolitan Statistical Area as its principal executive offices. Executive shall be permitted to serve on the board of charitable or civic organizations so long as such services: # are approved in writing in advance by Employer; and # do not interfere with Executive’s duties and obligations under this Agreement. Employer hereby approves of Executive’s membership on the following boards, so long as such membership complies with this Section 1: Radio Advertising Bureau, Radio Music License Committee, Alumni Board of Governors at University of Michigan’s Ross School of Business Administration and Center for Leadership Development. Executive is currently a member of the Board of Directors of ECC and he shall continue to serve in such position during the Term, subject to election by ECC’s shareholders, without additional remuneration (unless Employer elects to remunerate “inside directors”) but shall be entitled to the benefit of indemnification pursuant to the terms of Section 15.9. Executive shall also serve without additional remuneration as an officer of ECC and as a director and/or officer of one (1) or more of Employer’s subsidiaries or affiliates if appointed to such position(s) by ECC, Employer or another member of the Emmis Group, and shall also be entitled to the benefit of indemnification for such position(s) pursuant to the terms of Section 15.9.
