Salary and Wages. Except in the case of a Permitted Termination or Furlough, the Recipient shall not, between the date of this Agreement and September 30, 2020, reduce, without the Employee's consent, # the pay rate of any Employee earning a Salary, or # the pay rate of any Employee earning Wages.

Final Wages. The Company timely paid the Employee the unpaid portion of her annual salary earned through the Separation Date and for all earned and unused vacation time by having a check for this amount available for pick-up by, or, at her option, sending it to the Employee by overnight mail or direct deposit transfer on, that date.

Overtime, Back Wages, Vacation, and Minimum Wages. To Seller’s knowledge, no present or former employee of Seller has any valid and enforceable claim (whether under federal or state law) under any employment agreement, or otherwise, with respect to the Marketing/Retail Business, for: # overtime pay, other than overtime pay for the current payroll period; # wages or salary for any period other than the current payroll period; # vacation or time off (or pay in lieu thereof), other than that earned in respect of the previous twelve (12) months; or # any violation of any statute, ordinance, or regulation relating to minimum wages or maximum hours of work.

The Awards are in no respect part of a Japan Participant’s wages, salary or bonus (“Employee Compensation”), but are rather incentive awards, above and beyond his or her Employee Compensation and are granted at the total discretion of the Company.

Final Salary/Wages: Vacation Pay. You have received your final pay check as of the Separation Date, which includes payment for all salary/wages that you earned through the Separation Date, less applicable withholdings and deductions. All unused and accrued vacation shall be paid to you upon execution of this Agreement. You will receive these payments even if you do not enter into this Agreement.

Accrued Wages and Expenses. You shall receive, regardless of whether you sign this Agreement, the following payments and benefits. All payments made pursuant to this Paragraph 1 shall be reduced by the amount of applicable taxes and other authorized withholding.

Wages and Benefits. Licensee certifies that it complies with all applicable wage and hour laws and regulations, and that employees will be paid at least the minimum wage required by local law, or the prevailing industry wage, whichever is greater.
