Personnel Obligations. Prior to beginning work under this Agreement relating to any research, Development or Commercialization of a Collaboration Compound or a Product, to HIF or in the Field, each employee, agent or independent contractor of AstraZeneca or FibroGen China or of either Party’s respective Affiliates shall be bound by non-disclosure and invention assignment obligations which are consistent with the obligations of AstraZeneca or FibroGen China, as appropriate, in this Article 9, including without limitation: # promptly reporting any invention, discovery, process or other intellectual property right; # assigning to AstraZeneca or FibroGen China, as appropriate, all of his or her right, title and interest in and to any invention, discovery, process or other intellectual property right, such that AstraZeneca or FibroGen China, as appropriate, can then comply with its obligations under this Agreement with respect to such invention, discovery, process or other intellectual property right; # cooperating in the preparation, filing, prosecution, maintenance and enforcement of any patent and patent application; # performing all acts and signing, executing, acknowledging and delivering any and all documents required for effecting the obligations and purposes of this Agreement; and # abiding by the obligations of confidentiality and non-use set forth in Article 13. It is understood and agreed that such non-disclosure and invention assignment agreement need not reference or be specific to this Agreement.

Personnel Benefits. Subject to compliance with all applicable laws and regulations, the Parties and their respective Collaboration Managers will work together in good faith and implement policies and procedures in order to minimize the overlap of benefits that are offered by both Parties to any Personnel that are employed by both Parties.

Betta Personnel. Betta represents and warrants that, to the extent permissible under Applicable Laws, each employee and contractor of Betta performing obligations under this Agreement will, prior to conducting any such obligations hereunder, be obligated by written contract to # promptly disclose to Betta all Inventions and other Know-How conceived or reduced to practice by such employee or contractor during any performance under this Agreement, # automatically assign to Betta all right, title and interest in and to all such Inventions and other Know-How and all intellectual property rights therein, and # adhere to similar obligations of confidentiality as are set forth in this Agreement.

Project Personnel. SBL shall adequately staff the Facility with personnel necessary (including consultants and contractors), and with sufficient technical expertise to perform its obligations under the MSA, and who are up to date on all required trainings under SBL policy and Applicable Laws.
