Section # Disclosure 6

The second grammatical sentence of [Section 6] of the Agreement is hereby deleted and in its place is inserted the following as the second grammatical sentence of [Section 6]:

The Participant agrees to continue to adhere to the terms and conditions set forth in Section 6 (Restrictive Covenants) of the Plan. The Participant agrees that such terms and conditions are reasonable and necessary to protect the legitimate interests of ​ and that any violation of Section 6 of the Plan by the Participant may cause substantial and irreparable harm to ​. The Participant agrees that ​ may seek any remedies set forth in the Plan, including but not limited to [Section 5(j)] and/or Section 6 of the Plan should the Participant violate Section 6 of the Plan. ​ and the Participant specifically agree that [Section 5(j)] and Section 6 of the Plan are incorporated hereto by reference and integrated herein.

Section # Amendment to [Section 1.3(a)] of the Agreement and [Section 6 of Schedule 1.3(a)]. The following proviso shall be added to the end of the second sentence of [Section 1.3(a)] of the Agreement and [Section 6 of Schedule 1.3(a)]:

Survival. The Company's and Executive's obligations under Section 6 and, to the extent provided in Section 6, the Executive's obligations under Sections 9 and 10, will survive the termination of this Agreement.
