[Section 1.1]. [Section 1.1] of the Credit Agreement is hereby amended as follows:

[Section 1.2(c) of Exhibit C] to the Agreement shall be amended as follows:

[Section 1.2] Change of Control. The following provision is added to the end of [Section 1.2]:

[Section 1.2(a)] of the Purchase Agreement is deleted in its entirety and replaced with the following:

[Section 1.1(a)(i)] of the Credit Agreement shall be amended by deleting the reference to “May 1, 2016” contained in such subsection in its entirety and substituting in lieu thereof a reference to “May 1, 2018”.

[Section 1.01] of the Credit Agreement is hereby amended by inserting the following new defined term in the appropriate alphabetical order:

[Section 1(a)]. The reference to “each Additional Closing” in [Section 1(a)] of the Purchase Agreement shall be replaced with “the Additional Closing.”

Sub-[Section 1.03], is hereby partially stricken and the stricken language shall no longer be of any force and effect. Said Sub-[Section 1.03] is hereby partially replaced by certain new Sub-[Section 1.03] language which shall read as follows.

[Schedule 1].1D (Initial Subsidiary Guarantors) to the Existing Credit Agreement is hereby amended by replacing the legal name of “Ford Mexico Holdings, Inc.” with “Ford Mexico Holdings LLC” and replacing the type of entity applicable thereto with “Limited Liability Company.”

[Schedule 1.93] Targets. The Parties acknowledge and agree that the following provisions apply to Targets that shall be listed on a new [Schedule 1.93] when added to such Schedule by Merck (each, a “[Schedule 1.93] Target”):
