Temporary housing in San Diego for up to 90 days to be arranged by the Company through Relocation Coordinates, Inc., and not to exceed $8,000 per month;

Closing Date. Notwithstanding anything to the contrary contained in the Agreement, the Closing Date with respect to the Abbington Housing Community shall be revised to August 30, 2019.

You acknowledge that your receipt and retention of any Signing Bonus, Temporary Housing Assistance, and Relocation Assistance are contingent upon your continued employment with the Company under the terms of this Letter Agreement for a period of eighteen (18) months from your Start Date. You agree to repay in full any amount paid by the Company relating to your Signing Bonus, Temporary Housing Assistance, and Relocation Assistance, if within eighteen (18) months from your Start Date, you resign from employment with the Company without Good Reason (as defined below), or if your employment is terminated by the Company for Cause (as defined below). If you refuse or fail to relocate to the San Diego area after the Company has paid any amounts for Temporary Housing Assistance or Relocation Assistance, you agree to repay in full any and all amounts paid by the Company for Temporary Housing Assistance and Relocation Assistance. Furthermore, you agree that the Company may deduct from any amounts owed to you by the Company, including without limitation any salary, wages, bonuses, vacation or other paid leave, severance or separation pay, and expense reimbursements, any amounts owed to the Company by you, including repayment of your Signing Bonus, Temporary Housing Assistance and Relocation Assistance, subject to applicable law. If such deduction by the Company does not fully satisfy the amounts owed to the Company by you, you agree to immediately repay the remaining balance to the Company within fourteen (14) days of your terminating employment or refusal or failure to relocate, as applicable.

Such housing assistance payments will not commence until Petco begins its return to office protocol and the CEO requests that you be available on a regular basis in the NSC.

“Real Estate Business” means homebuilding, housing construction, real estate development or construction and the sale of homes and related real estate activities, including the provision of mortgage financing or title insurance.

any parts of the Building reserved by the Landlord for the housing of plant, machinery and equipment or otherwise in connection with or required for the provision of the Building Services;

Pursuant to the Original Agreement, Freddie Mac agreed with the Sponsor to exchange certain Certificates described below for certain tax-exempt multifamily housing revenue bonds owned by the Sponsor (the “Bonds”).

“Finished Lots” means one or more parcels of land owned by the Borrower or any Guarantor which are divided into legally conveyable lots designated for residential construction and use (excluding mobile homes) and as to which # a final subdivision plat or map has been approved by all relevant Governmental Authorities and recorded in the official records of the county in which such lot is located, # utilities have been stubbed and utility services are available, # vehicle access is available to and from a publicly dedicated street or from a private road, and # building permits for the construction of Housing Units may be issued without satisfaction of additional conditions, other than the payment of applicable fees; provided, however, that the term “Finished Lots” shall not include any real property upon which the construction of a Housing Unit has commenced (as described in the definition of “Housing Unit”).

(A) PMC ceases to be # a HUD approved mortgagee pursuant to Section 203 of the National Housing Act or # a Freddie Mac approved seller/servicer or HUD, Freddie Mac or Freddie Mac, as applicable, suspends, rescinds, halts, eliminates, withdraws, annuls, repeals, voids or terminates the status of PMC as either # a HUD approved mortgagee pursuant to Section 203 of the National Housing Act or # a Freddie Mac or Freddie Mac approved servicer or # PMC receives notice that HUD, Freddie Mac or Freddie Mac may take such action set forth in clause (A);

Travel and Housing Expenses. As a member of the senior executive team, you will be eligible for above-coach seating pursuant to the terms of the Company’s global travel policy. In addition, during the first six months of your employment with the Company, you will be reimbursed for the cost of housing in Los Angeles up to $3,000 per month. The Company will also pay for your reasonable cost of travel to and from the Company’s headquarters. To the extent you utilize private aircraft for any such travel, so long as you have prior approval of the CEO, you will be reimbursed in an amount equal to the reasonable cost of a commercial airline ticket for such trip.
