Housing and Travel. Within a reasonable period of time following the Effective Date, the Executive shall rent a residence within a reasonable commuting distance to the Company’s headquarters. The Company shall pay or reimburse the Executive for reasonable monthly rental costs and any applicable brokerage fees involved with renting Executive’s residence. All amounts payable under this Section 3(d) shall be paid or reimbursed only during the Employment Term and subject to the Executive’s presentment to the Company of appropriate documentation and shall be subject to the limitations and procedures set forth in the Company’s relocation program as in effect from time to time.

Temporary Housing Allowance. During the initial two years of the Term of Employment, the Company shall provide Executive with a monthly allowance for housing in the San Francisco Bay Area. The amount of the allowance shall be $3,000 per month for the initial year of the Term of Employment and $2,000 per month for the second year of the Term of Employment. This allowance shall be payable to Executive, less authorized deductions and withholding obligations, on the first regular payroll date of each month. For the avoidance of doubt, Executive shall not be entitled to a housing allowance after the second anniversary of Effective Date.

Housing and Automobile Allowance. During the term of Executive's employment and until the earlier to occur of # the Headquarter Relocation or # one year from the effective date of this agreement, the Company shall pay for or reimburse Executive in accordance with the Company’s written expense reimbursement policies and procedures for reasonable housing and automobile expenses in the San Francisco Bay Area per month.

Business Expenses; Temporary Housing Allowance. The Company will pay or reimburse Employee for all reasonable business expenses incurred or paid by Employee in the performance of Employee’s duties and responsibilities for the Company, subject to any maximum annual limit and other restrictions on such expenses set by the Company and to such reasonable substantiation and documentation as may be specified from time to time. Employee’s right to payment or reimbursement for business expenses hereunder shall be subject to the following additional rules: # the amount of expenses eligible for payment or reimbursement during any calendar year shall not affect the expenses eligible for payment or reimbursement in any other calendar year, # payment or reimbursement shall be made not later than December 31 of the calendar year following the calendar year in which the expense or payment was incurred, and # the right to payment or reimbursement is not subject to liquidation or exchange for any other benefit.

“FHA” means the Federal Housing Administration, an agency within the United States Department of Housing and Urban Development, or any successor thereto, and including the Federal Housing Commissioner and the Secretary of Housing and Urban Development where appropriate under the FHA Regulations.

Closing Date. Notwithstanding anything to the contrary contained in the Agreement, the Closing Date with respect to all Housing Communities, except for the Abbington Housing Community, shall be revised to August 27, 2019. The Closing Date with respect to the Abbington Housing Community shall remain on September 3, 2019.

Each parcel of Land described in this Section, and all of the Personal Property, Improvements, Leases, Licenses, Service Contracts, intangible property and other property pertaining to such parcels, are sometimes referred to as a “Housing Community,” and all such Housing Communities are sometimes collectively referred to as the “Housing Communities.”

“Housing Unit Closing” means a closing of the sale of a Housing Unit by the Borrower or a Guarantor to a bona fide purchaser for value.

West Texas Housing LLC

“Model Unit” means a Housing Unit constructed initially for inspection by prospective purchasers that is not intended to be sold until all or substantially all other Housing Units in the applicable subdivision are sold.
