Fee. The Client shall pay TPG Capital BD a fee of up to $862,500 (the “Fee”), which shall be payable by the Client and due to TPG Capital BD upon the consummation of the initial public offering of the securities of the Client (the “Transaction” and such consummation of the initial issuance of securities, the “Closing”). If the Closing does not occur during the Term, then no Fee shall be payable to TPG Capital BD. The fees described in this paragraph 1 are compensation for the Engagement, which consists of work directly related to the Transaction. Any work that is outside of the scope of the Engagement shall be subject to additional compensation as separately agreed by the parties hereto.

Managed Hosting Provider. Company acknowledges and agrees that initially # ​ (“[***]”) is Redi2’s provider of facilities where the servers which run the Programs will reside, # no warranties, either express or implied, are made by or on behalf of ​ under this Agreement, and # ​ shall not be directly liable to Company for any damages, whether direct, indirect, incidental or consequential arising from the use of the Programs on servers hosted and maintained by ​. Redi2 shall be responsible and liable to Company for the performance and compliance of ​ with the terms herein. At any time during this Agreement, Redi2 may choose to designate another managed hosting provider located in the United States and will provide company at least 90 days prior notice of such intent to change Redi2’s provider.

Hosting Fee. The Hosting Fee shall be based on a price of $0.060 per kilowatt and will be billed to Client according to the actual electricity consumption generated. The Hosting Fee is an all-inclusive hosting price which covers all the hosting costs incurred by Host, including, without limitation, Internet usage fees and hosting management.

CSG shall provide technical support and operational maintenance for the Production Environment of the Ascendon System as part of the Ascendon SaaS Services. These hosting and support services are provided in a manner to maximize Service Availability and minimize any Service Interruption of the Production Environment. CSG shall provide the hosting services from facilities located in the United States. Under no circumstance shall hosting services be provided from an off-shore location without the prior written consent of an Authorized Customer Representative.
