Fee. The Client shall pay TPG Capital BD a fee of up to $744,625 (the “Fee”), which shall be payable by the Client and due to TPG Capital BD upon the consummation of the initial public offering of the securities of the Client (the “Transaction” and such consummation of the initial issuance of securities, the “Closing”). If the Closing does not occur during the Term, then no Fee shall be payable to TPG Capital BD. The fees described in this paragraph 1 are compensation for the Engagement, which consists of work directly related to the Transaction. Any work that is outside of the scope of the Engagement shall be subject to additional compensation as separately agreed by the parties hereto.

Fee. Upon its receipt of an Assignment and Acceptance executed by the assigning Lender and an Eligible Assignee and a processing and recordation fee of $3,500 (payable by the assignee to the Administrative Agent), the Administrative Agent shall, if such Assignment and Acceptance has been completed and is in compliance with this Agreement and in substantially the form of Exhibit A hereto, # accept such Assignment and Acceptance, # record the information contained therein in the Register and # give prompt notice thereof to the Borrower and the other Lenders.

Ascendon [Schedule C] – Ascendon Hosting, Ascendon Support Services, Performance Standards and Remedies

“ACS Agreement”: the Agreement entered into between Affiliated Computer Services, Inc. and [[Co-Borrower:Organization]] on March 31, 2011 to provide services to support the Borrower’s remote hosting services for Sunrise acute care clients along with the related sale of a portion of its hosting equipment and infrastructure for approximately $20,000,000.

“RA Components” means RA’s hardware, software, or hosting services that are part of a Combined Offering.

Medidata shall provide access to and support of the Application Services in accordance with the Hosting and Support Services Policy posted at https://www.medidata.com/en/policies. This Hosting and Support Services Policy provides specific service level commitments which Medidata agrees to meet or exceed during the Term. Medidata shall actively monitor its compliance with these service commitments in accordance with the policy.

Amendment Fee; Fee Letter. In consideration of the financial and other accommodations set forth in Amendment No. 3, Borrowers shall pay # to Agent, for the ratable benefit of the Lenders, an amendment and modification fee (the “Amendment No. 3 Fee”) in the amount of $206,021.57, which Amendment No. 3 Fee shall be fully earned as of the Amendment No. 3 Effective Date, non-refundable, and shall be charged to operating account of the Borrowers maintained with Agent as of the Amendment No. 3 Effective Date; and # to Fifth Third the fees set forth in the Fifth Third Fee Letter (Amendment No. 3) with Agent.

Origination Fee. On the Closing Date, Borrowers shall pay Agent, for the benefit of all Lenders committed to make Term Loans on the Closing Date in accordance with their Pro Rata Shares, a fee in an amount equal to the aggregate amount of all Term Loan Tranche 1 Commitments multiplied by one quarter of one percent (0.25%). On the date each Term Loan Tranche 2 Loan, Term Loan Tranche 3, and Term Loan Tranche 4 is funded, Borrowers shall pay Agent, for the benefit of all Lenders committed to make the applicable Term Loan on the date of such borrowing, in accordance with their Pro Rata Shares, a fee in an amount equal to the aggregate amount of all the Term Loan Tranche 2 Commitments, Term Loan Tranche 3 Commitments or Term Loan Tranche 4 Commitments (as applicable) multiplied by, in each case, one quarter of one percent (0.25%) All fees payable pursuant to this paragraph shall be deemed fully earned when due and payable and non-refundable as of the Closing Date or, as applicable, the date on which the Term Loans are borrowed.
