Officer Benefits. Officer benefits and perquisites shall be treated as follows:

Fringe Benefits and Miscellaneous Employment Matters. The Employee shall be entitled to participate in such employee benefit plans or programs, as may be offered by the Company, including, without limitation, coverage under the Company’s current Directors and Officers (“D&O”) insurance plan, a true and correct copy of which shall be provided to Employee upon entering into this Agreement), [Section 401(k)] retirement plan, health insurance benefits, and any other benefits provided by the Company, if such exist and which may be amended from time to time by the Board of Directors, to the extent that his position, tenure, salary, age, health and other qualifications make him eligible to participate, subject to the terms and provisions of such plans. Such additional benefits shall include, but not be limited to: paid sick leave, individual and family health insurance and paid personal days, all in accordance with the current policies of the Company.

The Executive shall be entitled to participate in regular employee fringe benefit programs to the extent such programs are offered by the Company to its executive employees, including, but not limited to, medical, hospitalization and disability insurance and life insurance that are substantially consistent with the programs of the Company in effect prior to the Commencement Date.

During the Employment Term, you shall be reimbursed for such reasonable travel and other expenses incurred in the performance of your duties hereunder on a basis no less favorable than that provided by [[Organization A:Organization]] to its senior executives other than [[Organization A:Organization]]’s Chairman Emeritus, but in any event on a basis consistent with that provided to you, or agreed to be provided to you, immediately prior to the date of this Agreement.

As an employee, you will also be eligible to receive certain employee benefits including, to the extent you are eligible under the terms and conditions thereof, medical insurance plans, 401(k) plans, deferred compensation plans, life insurance plans, vacation, retirement or other employee benefit plans or fringe benefit plans or perquisites which are generally available to the employees of the Company and which may become effective from time to time during your employment with the Company. Please be aware that the Company maintains the right to change your benefits at any time and from time to time in its sole discretion.

Compensation; Fringe Benefits.

In any case where the Company is entitled to give a notice of termination under clause 10.5, it will be entitled instead to suspend the CEO, either on full or part pay, or without payment of salary and with or without the benefits or other perquisites arising hereunder including (without limitation) the benefits, expenses and perquisites referred to in clause 4.

You will be eligible to participate in Polaris’ benefit programs generally offered to all employees. A copy of the 2018 benefits summary guide is attached hereto as [Exhibit B]. You will also be eligible to participate and receive perquisites made available by Polaris to its executives as set forth in [Exhibit C]. The benefits and perquisites are subject to change by the Compensation Committee.

Executive Benefits. Executive shall be eligible to participate in all Executive benefit plans, policies, programs, or perquisites in which other [[the Company:Organization]] executive or officers participate, including future benefit plans and the [[the Company:Organization]] Stock Option program. The terms and conditions of Executive's participation in [[the Company:Organization]]’s Executive benefit plans, policies, programs, or perquisites shall be governed by the terms of each such plan, policy, or program.
