Effect of Termination Generally. Expiration or termination of this Agreement shall not relieve the Parties of any obligation accruing prior to such expiration or termination. Any expiration or early termination of this Agreement shall be without prejudice to the rights of either Party against the other accrued or accruing under this Agreement prior to termination, including the obligation to pay royalties for Licensed Product sold prior to such termination.

Survival Upon Termination. Termination or expiration of this Agreement for any reason shall be without prejudice to any rights that shall have accrued to the benefit of any Party prior to such termination or expiration. Such termination or expiration shall not relieve any Party from obligations which are expressly or by implication intended to survive termination or expiration of this Agreement and shall not affect or prejudice any provision of this Agreement which is expressly or by implication provided to come into effect on, or continue in effect after, such termination or expiration. Survival. The rights and obligations of each Party which by their nature survive the termination or expiration of this Agreement shall survive the termination or expiration of this Agreement, ​.

Survival. Notwithstanding any termination or expiration of this Agreement, Articles VI, VII, VIII, IX and XI shall survive such termination or expiration.

Effect of Termination. Upon the termination or expiration of this Agreement:

Amendment to this Agreement. No modification, waiver, amendment, discharge or change of this Agreement, shall be valid unless the same is in writing and signed by the party against whom enforcement of such modification, waiver amendment, discharge, or change is or may be sought.

“Account Balance” means at any time the aggregate of the Advances outstanding as reflected on the records maintained by [[Organization B:Organization]], together with any past due Finance Charges thereon.

Disclosure of this Agreement. I do not hereby authorize the Company to notify others, including but not limited to customers of the Company and any of my future employers, of the terms of this Agreement and my responsibilities hereunder.

This Agreement may be amended pursuant to a written instrument by mutual consent of the parties.

Amendments to this Agreement. Except as provided in [Section 2.13(b)] and the definition of “Modification Offer”, neither this Agreement nor any provision hereof may be waived, amended or modified except pursuant to an agreement or agreements in writing entered into by the Borrower and the Required ​ or by the Borrower and the Administrative Agent with the consent of the Required ​; provided that no such agreement shall:
