[Section 1.1] of the Original Credit Agreement is hereby amended by replacing clause (i) of the definition of “Permitted Investments” in its entirety with the following new clause (i):

[Schedule 1.107] sets forth a true, correct and complete list of all Stoke Existing In-License(s), [Schedule 1.110] sets forth a true, correct and complete list of all Stoke [[Unknown Identifier]] Patents as of the Effective Date and each such Patent Right is owned solely by Stoke, [Schedule 1.113] sets forth a true, correct and complete list of all Stoke ​ Patents as of the Effective Date and each such Patent Right is owned solely by Stoke, and [Schedule 1.116] sets forth a true, correct and complete list of all Stoke [[Unknown Identifier]] Patents as of the Effective Date and each such Patent Right is owned solely by Stoke or in-licensed by Stoke under the Stoke Existing In-License;

[Schedule 1.01] to the RFA is amended in the form attached hereto as [Annex B].

[Section 1.1] of the Loan Agreement is hereby amended by inserting the following new definitions in their proper alphabetical order:

[Section 1.1] of the Credit Agreement is hereby amended by amending and restating the Borrowing Base Utilization Grid in the definition of “Applicable Margin” therein to provide as follows:

[Section 1.8] of the Credit Agreement is hereby amended by # replacing each instance of “[Section 2.13(c)]” therein with “[Section 2.13]”; and # adding the phrase “any Benchmark Replacement or any Benchmark Replacement Conforming Changes,” immediately after the phrase “including without limitation,” in the fifth sentence therein.

[Schedule 1.01(E)] lists each Material Real Property owned by any Loan Party as of the Closing Date.

[Section 1.81] “Pain Field” of the Agreement shall be replaced with the following definition:

[Schedule 1.1] to the Loan Agreement is hereby amended and restated in its entirety as attached to this Amendment.

[Schedule 1.01(a)] to the Credit Agreement is hereby amended in its entirety to read in the form of Annex B hereof.
