Employment; Title; Duties and Location. The Company hereby agrees to employ Executive, and Executive hereby accepts employment with the Company, on the terms and subject to the conditions set forth herein, effective on the Effective Date. During the Term (as defined in Section 2 below), Executive shall serve the Company as Chief Medical Officer and Head of Clinical Development and shall report exclusively and directly to the Chief Executive Officer. Executive shall perform the duties consistent with Executive’s title and position and such other duties commensurate with such position and title as shall be specified or designated by the Chief Executive Officer from time to time. The Company may enter into loaned services or secondment agreements requiring that Executive provides similar services to Company subsidiaries or affiliates. There is no principal place of performance by Executive of Executive’s duties hereunder and Executive will be entitled to work remotely full-time under the Company’s existing remote working arrangements; provided, that Executive may be required to reasonably travel in connection with the performance of Executive’s duties.

Duties and Responsibilities. Executive shall serve as Chief Medical Officer of the Company. In the performance of such duties, Executive shall report directly to the CEO and shall be subject to the direction of the CEO and to such limits upon Executive’s authority as the CEO may from time to time impose. In the event of the CEO’s incapacity or unavailability, Executive shall be subject to the direction of the Board. Executive hereby consents to serve as an officer and/or director of the Company or any subsidiary or affiliate thereof without any additional salary or compensation, if so requested by the CEO. Executive shall be employed by the Company on a full-time basis. Executive will not be required to relocate to California from Massachusetts; provided that Executive will spend time in the Company’s facility in San Diego, California as reasonably requested from time to time, or such other locations designated by the CEO from time to time. Executive shall also render services at such other places within or outside the United States as the CEO may direct from time to time. Executive shall be subject to and comply with the policies and procedures generally applicable to senior management of the Company to the extent the same are not inconsistent with any term of this Agreement.

Position and Duties. During the Term, the Executive shall serve as the Chief Medical Officer of the Company reporting to the Chief Executive Officer of the Company (the “CEO”). Executive shall have such powers and duties as may from time to time be prescribed by the Chairman of the Board of Directors of the Company (the “Board”) or the CEO, provided that such duties are consistent with the Executive’s position or other positions that she may hold from time to time. The Executive shall devote her full working time and efforts to the business and affairs of the Company. Notwithstanding the foregoing, the Executive may serve as a physician in a clinical capacity at a hospital or serve on other boards of directors, in each case with the approval of the CEO, or engage in religious, charitable or other community activities as long as such services and activities are disclosed to the CEO and do not materially interfere with the Executive’s performance of her duties to the Company as provided in this Agreement.

Appointment. Executive’s start date was April 2, 2018 (the “Start Date”). Executive shall serve as Chief Medical Officer, reporting to the Chief Executive Officer. As Chief Medical Officer, Executive shall perform the duties that are consistent with such position and that may be assigned to Executive by the Company from time to time. During Executive’s employment with the Company, Executive shall # devote substantially all of Executive’s business efforts to the Company, and # faithfully and to the best of Executive’s abilities and experience, and in accordance with the standards and ethics of the business in which the Company is engaged, perform all duties that may be required of Executive by this Agreement, the Company’s policies and procedures, and such other duties and responsibilities as may be assigned to Executive from time to time, as well as the directives of the Board. During Executive’s employment with the Company, Executive shall not engage in any activity that conflicts with or is detrimental to the Company’s best interests, as determined by the Board or Chief Executive Officer; provided, however, that Executive, subject to Executive’s obligations hereunder may perform reasonable volunteer services and, with the prior consent of the Company, serve on outside boards of directors.

Scope of Employment. During the Term of Employment, the Executive shall be responsible for the performance of those duties consistent with the Executive’s position as Chief Medical Officer. The Executive shall report [[Organization A:Organization]] the President, Research & Development and shall perform and discharge faithfully, diligently, and [[Organization A:Organization]] the best of the Executive’s ability, the Executive’s duties and responsibilities hereunder. The Executive shall devote substantially all of the Executive’s business time, loyalty, attention and efforts [[Organization A:Organization]] the business and affairs of the Company and its affiliates. Membership on boards of directors of any other companies will be permitted only with the express approval of the Company’s board of directors (the “Board”); provided, however, that the Executive may engage in community and charitable activities or participate in industry associations and serve on the boards of up [[Organization A:Organization]] two (2) community, charitable or industry organizations, without the approval of the Board, provided such activities do not create a conflict of interest or otherwise interfere with the Executive’s performance of the Executive’s duties hereunder. The Executive agrees [[Organization A:Organization]] abide by the rules, regulations, instructions, personnel practices and policies of the Company and any changes therein that may be adopted from time [[Organization A:Organization]] time by the Company.

Notwithstanding the foregoing, the Executive may serve on other boards of directors, with the approval of the CEO, or engage in religious, charitable or other community activities as long as such services and activities are disclosed to the CEO and do not materially interfere with the Executive’s performance of her duties to the Company as provided in this Agreement.
