Employment. Nothing in this Plan or an Award Agreement shall # interfere with or limit in any way the right of the Company or any Subsidiary to terminate any Participant’s employment with the Company or any Subsidiary at any time or for any reason not prohibited by law or # confer upon any Participant any right to continue his employment or service as a Director for any specified period of time. Neither an Award nor any benefits arising under this Plan shall constitute an employment contract with the Company or any Subsidiary and, accordingly, subject to Articles 3 and 19, this Plan and the benefits hereunder may be amended or terminated at any time in the sole and exclusive discretion of the Board without giving rise to any liability on the part of the Company, any Subsidiary, the Committee or the Board.

Employment. The Officer is employed as Executive Vice President and Chief Risk Officer of the Bank. The Officer shall perform all duties and shall have all powers which are commonly incident to the office of Executive Vice President and Chief Risk Officer or which, consistent with that office, are assigned to the Officer. In addition to the Officer’s major job accountabilities set forth in the job description maintained by the Human Resources Division, the Officer’s duties include, but are not limited to:

Employment. The Company hereby employs Employee as to provide the Services and Employee hereby accepts such employment, on the terms and conditions set forth below.

Employment. Company agrees to employ Executive as its Chief Financial Officer during the “Term” defined in Section 2 of this Agreement. Executive shall report to and be subject to the direction of the Chief Executive Officer and Board of Directors of the Company. Executive shall have the powers and authority ordinarily given to the position described above as provided under the Bylaws of the Company. Executive will have such duties as normally apply to such position. Executive shall devote all of her working time, abilities and attention to the business of the Company, and will fulfill all of the duties required of her as Chief Financial Officer. The services of Executive shall be rendered principally in [[Address A:Address]], but Executive shall undertake such traveling on behalf of Company as may be reasonably required.

Employment. The Company agrees to employ Executive, and Executive hereby desires to be employed by the Company to serve as Senior Vice President & General Manager – Engineered Components, upon the terms and conditions as set forth in this Agreement on an at-will basis, for the period beginning on February 25, 2019 (the “Effective Date”) unless and until his employment is terminated pursuant to Section 4 hereof (such period, the “Employment Period”). Executive acknowledges that either he or the Company may terminate his employment at any time for any reason.

Employment. The Company shall employ the Employee, and the Employee accepts employment with the Company, upon the terms and conditions set forth in this Agreement for the period beginning on the Effective Date and ending as provided in Section 7 (the “Employment Period”).

Employment. Participation in the Plan shall not give any Employee the right to be retained in the employ of the Company or its Subsidiaries, or upon dismissal or upon his or her voluntary termination of employment, to have any right, legal or equitable, under the Plan or any portion thereof, except as expressly granted by the Plan.

Employment. USPB will employ CEO as the chief executive officer of USPB under this Agreement from the Effective Date until December 26, 2026 (the "Expiration Date") or the date the employment is otherwise terminated as provided in this Agreement ("Termination Date").

Employment. The Company hereby agrees to further employ the Executive as Chief Executive Officer (“CEO”) of the Company, effective on the Effective Date and for the duration of the Term unless terminated earlier pursuant to the terms of Section 2 below. The Executive accepts such employment and agrees to devote sufficient time, efforts and skills to diligently perform the duties of such role as shall reasonably be assigned to him by the Board of Directors of the Company (“Board”), subject to Section 3 below.

Employment. The Employer agrees to employ Executive and Executive agrees to be employed by the Employer, beginning as of August 11, 2016 (the “Effective Date”) and Executive’s employment under this Agreement shall terminate on the earlier of # December 31, 2018 or # the termination of Executive’s employment under this Agreement. The period from the Effective Date until the termination of Executive’s employment under this Agreement is referred to as the “Employment Period.” To the extent Executive remains employed by the Company after the expiration of the Employment Period, such employment will be subject to the terms and conditions to which the Company and Executive at that time will agree.
