Employment. Company agrees to employ Executive as its Chief Financial Officer during the “Term” defined in Section 2 of this Agreement. Executive shall report to and be subject to the direction of the Chief Executive Officer and Board of Directors of the Company. Executive shall have the powers and authority ordinarily given to the position described above as provided under the Bylaws of the Company. Executive will have such duties as normally apply to such position. Executive shall devote all of her working time, abilities and attention to the business of the Company, and will fulfill all of the duties required of her as Chief Financial Officer. The services of Executive shall be rendered principally in [[Address A:Address]], but Executive shall undertake such traveling on behalf of Company as may be reasonably required.

Position. During the Employment Period, Executive shall serve as the Chief Financial Officer of the Company and, at the Board’s request but without additional compensation therefor, as an executive or director of any other member of the Company Group and, in such capacity, shall have the duties, responsibilities and authority that are normally associated with such office, subject to the direction and supervision of the Chief Executive Officer. Upon termination of employment hereunder for any or no reason, Executive will resign from each such position or office and will sign such documentation as reasonably necessary to effectuate such resignation, and in the event Executive fails to sign such documentation Executive hereby appoints each member of the Board (other than Executive, as applicable) as attorney-in-fact for such limited purpose of effecting such resignation.

Position; Term of Employment. Subject to the terms and conditions of this Agreement, the Company agrees to employ the Executive, and the Executive agrees to serve the Company, as its Executive Vice President and Chief Financial Officer (“Executive’s Position”). The parties intend that the Executive shall continue to serve in this capacity throughout the Employment Term (as such term is defined below). In such capacity, the Executive shall report to the [[Organization A:Organization]] of the Company.

Employment. Company hereby agrees to employ Executive as its Chief Financial Officer and Executive hereby accepts such employment in accordance with the terms of this Agreement and the terms of employment applicable to regular employees of Company. In the event of any conflict or ambiguity between the terms of this Agreement and terms of employment applicable to regular employees, the terms of this Agreement shall be definitive. Executive’s duties shall be performed at the Company’s offices in [[Address A:Address]] and Romeoville, Illinois. The parties acknowledge that Executive will be required to travel in connection with the performance of his duties.
