Any Loan Party shall fail to perform or observe any term, covenant, condition or agreement on its part to be performed or observed and contained in [Article IX] or [Article X] (other than [Section 10.5], [Section 10.9], [Section 10.10] or [Section 10.12]); or

any Loan Party shall fail to observe or perform any covenant, condition or agreement contained in [Section 5.02(a), 5.03]3] (with respect to a Loan Party’s existence) or 5.08 or in Article 6 or [Sections 5(a) or 6] of the Security Agreement;
