Contents of Notice. If a claim for benefits is completely or partially denied, notice of such denial shall be in writing and shall set forth the reasons for denial in plain language. The notice shall # cite the pertinent provisions of the Plan document and # explain, where appropriate, how the Claimant can perfect the claim, including a description of any additional material or information necessary to complete the claim and why such material or information is necessary. The claim denial also shall include an explanation of the claims review procedures and the time limits applicable to such procedures, including a statement of the Claimant’s right to bring a civil action under [Section 502(a)] of ERISA following an adverse decision on review.

If Fate exercises the U.S. Commercialization Option pursuant to [Section 5.1.3] of this Exhibit, the U.S. Commercialization Plan shall allocate responsibility between the Parties for Commercialization activities with respect to the Profit Share Product in the U.S., which allocation shall be consistent with [Section 5.1.3] of this Exhibit.

The decision on review shall set forth # the specific reason or reasons for the denial, # specific references to the pertinent Plan provisions on which the denial is based, # a statement that the Claimant is entitled to receive, upon request and free of charge, reasonable access to and copies of all documents, records, or other information relevant (as defined above) to the Claimant’s claim, and # a statement describing any voluntary appeal procedures offered by the plan and a statement of the Claimant’s right to bring an action under [Section 502(a)] of ERISA.
