Regions Bank, as a Lender and as Co-Documentation Agent

“Co-Documentation Agent” is defined in the introductory paragraph hereto.

“Co-Documentation Agent” means Barclays Bank PLC, Credit Suisse Securities (USA[[Borrower:Organization]] LLC, Goldman Sachs Bank USA, J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley Senior Funding, Inc., and Wells Fargo Securities, LLC, each as a Co-Documentation Agent under this Agreement.

“Agents” shall mean the Administrative Agent, the Collateral Agent, any sub-agent or co-agent of either of the foregoing pursuant to the Credit Documents, the Lead Arrangers, the Co-Documentation Agents and, the Co-Syndication Agents and the Amendment No. 1 Lead Arranger.

Documentation. Each Award shall be evidenced in such form (written, electronic or otherwise) as the Board shall determine. Each Award may contain terms and conditions in addition to those set forth in the Plan.

Documentation. All documents and other matters required by any of the provisions of this Agreement to be submitted or furnished to a Purchaser shall be in form and substance reasonably satisfactory to such Purchaser.
