Position. On the Effective Date, you will begin to serve as Chief Financial Officer of the Company. In this capacity, you will report directly to Pat Miles, the Company’s Chairman and Chief Executive Officer (“CEO”) and have all of the customary authorities, duties and responsibilities that accompany your position. Throughout your employment with the Company, you agree to devote substantially all of your working time and attention to the business and affairs of the Company and to perform your duties in a diligent, competent, professional and skillful manner and in accordance with applicable law and the Company’s policies and procedures.

Position. Employee shall serve as the Company’s General Counsel and Vice President of Compliance & Legal. During the term of Employee’s employment with the Company, Employee will devote Employee’s diligent efforts to the business of the Company.

Position. During the Term of Employment, the Executive shall serve as the Chief Financial Officer of the Company, working out of the Company's office in [[Address A:Address]], and travelling as reasonably required by the Executive's job duties.

Position. Executive shall serve as the Company’s Executive Vice President & Chief Financial Officer, reporting to [[Person B:Person]], the Company’s President & CEO (the “CEO”). Executive’s commencement of employment with the Company will be on or before July 28, 2021 (such actual date of commencement of employment with the Company, the “Start Date”). During the term of Executive’s employment with the Company, Executive will devote Executive’s best efforts and substantially all of Executive’s business time and attention to the business of the Company, except for approved vacation periods and reasonable periods of illness or other incapacities permitted by the Company’s general employment policies.

Position. The Company shall employ Executive in the position of Chief Medical Officer.

Position. You will be our Chief Financial Officer (CFO) reporting to our Chief Executive Officer. The company requires that, as a full-time employee, you devote your full business time, attention, skill and efforts to the duties of your position as assigned by the company. If you wish to provide services (for compensation or not) to any other business while employed by the company, please discuss that with your supervisor prior to accepting another position.

Position. During the period of his employment hereunder, Executive agrees to serve the Company, and the Employer shall employ Executive, as Executive Vice President of Global Innovation. If appointed or elected, Executive also shall serve as an officer, director and/or manager of one or more of the Employer’s subsidiaries and affiliated companies in such capacity or capacities as may be determined from time to time.

Position. During the period of his employment hereunder, Executive agrees to serve the Company, and the Employer shall employ Executive, as Chief Executive Officer. If appointed or elected, Executive also shall serve as an officer, director and/or manager of one or more of the Employer’s subsidiaries and affiliated companies in such capacity or capacities as may be determined from time to time. The Employer’s board of directors (the “Board”) shall appoint Executive to serve as a member of the Board effective on the Start Date and shall nominate Executive to serve on the Board at each annual meeting of shareholders thereafter during Executive’s employment by the Employer subject to approval by the Employer’s shareholders.

Position. The Executive shall serve as the CHIEF MEDICAL OFFICER of the Company working out of the Company’s office in [[Address A:Address]], and travelling as reasonably required by the Executive’s job duties.

Position. As of the Effective Date, Executive shall continue to be employed by the Company to render services to the Company in the position of Chief Executive Officer. Executive shall perform such duties and responsibilities as are normally related to such position in accordance with the standards of the industry and any additional duties now or hereafter assigned to Executive by the Company. Executive shall also serve as the most senior executive officer of each of the Company’s subsidiaries, unless otherwise agreed by Executive and the Company. Executive shall report solely to the Company’s Board of Directors (the “Board”). Executive shall abide by the rules, regulations, and practices as adopted or modified from time to time in the Company’s sole discretion. As of the Effective Date, Executive shall continue to serve as a member of the Board. Each year during the Term, the Board shall nominate Executive for election to the Board at the Company’s annual meeting of stockholders.
