My Claims. The claims I am releasing ("My Claims") include all of my rights to any relief of any kind from the Company, including without limitation, all claims I have now, whether or not I now know about the claims. I ALSO UNDERSTAND AND AGREE THAT THIS AGREEMENT CONTAINS ALL OF THE AGREEMENTS BETWEEN THE COMPANY AND ME RELATING TO THE MATTERS INCLUDED IN THIS AGREEMENT, EXCEPT AS TO ANY ADDITIONAL CONFIDENTIALITY AND RESTRICTIVE COVENANT AGREEMENTS TO WHICH I AM ALSO A PARTY INCLUDING WITHOUT LIMITATION THOSE CONTAINED IN THE EMPLOYMENT AGREEMENT. I ALSO AGREE THAT THIS AGREEMENT MAY BE EXECUTED IN ONE OR MORE COUNTERPARTS, ALL OF WHICH, TAKEN TOGETHER, SHALL CONSTITUTE ONE AND THE SAME AGREEMENT.

I ALSO AGREE THAT THIS AGREEMENT MAY BE EXECUTED IN ONE OR MORE COUNTERPARTS, ALL OF WHICH, TAKEN TOGETHER, SHALL CONSTITUTE ONE AND THE SAME AGREEMENT.

By virtue of my position, I understand that I will have and/or have had access to Confidential Information (as defined below) regarding the Company's customers, suppliers, business plans, software, intellectual property, processes and methods, development tools, scientific, technical and/or business innovations, and other information.

By virtue of my position, I understand that I will have and/or have had access to Confidential Information (as defined below) regarding the Company’s customers, suppliers, business plans, software, intellectual property, processes and methods, development tools, scientific, technical and/or business innovations, and other information.

Position. You will be employed in the position of Senior Executive Vice President and Chief Financial Officer (“CFO”) of the Company and will report directly to the Company’s [[Organization A:Organization]] (the “CEO”).

Position. Commencing on the later of December 1, 2020 or the consummation of the proposed Company separation through a tax-free spin-off (the “Effective Date”) you will hold the position of Chief Executive Officer, reporting to the Board of Directors. Prior to the Effective Date and subject to the third full paragraph below regarding “at will” employment, you will continue to hold your current positions with the Company and SYNNEX Corporation (“SYNNEX”). After the Effective Date, while your employment with SYNNEX will terminate and commence with the Company only, your service credit with the Company will continue to extend back to your original SYNNEX employer, EMJ Data Systems Ltd or August 1, 2003.

Position. Executive shall serve as Executive Vice President and Chief Scientific Officer of the Company, reporting to [[Person A:Person]], the Company’s President & CEO (the “CEO”). Executive’s commencement of employment with the Company will be on or before March 2, 2020 (such actual date of commencement of employment with the Company, the “Start Date”). During the term of Executive’s employment with the Company, Executive will devote Executive’s best efforts and substantially all of Executive’s business time and attention to the business of the Company, except for approved vacation periods and reasonable periods of illness or other incapacities permitted by the Company’s general employment policies.
