Termination without Cause or for Good Reason:

By the Company Other than for Cause.

By the Company For Cause or By Executive Other Than as a Result of a Constructive Termination.

Termination without Cause, Termination Upon Death or Disability, or Resignation from the Company for Good Reason.

5.1For Cause or Without Good Reason.

immediately upon notice to Executive of termination without Cause by the Company.

Termination by the Company without Cause. The Company may terminate your employment at any time without Cause. Any termination by the Company of your employment which does not constitute a termination for Cause or a termination due to a determination that you are Disabled pursuant to Section 3(d) shall be deemed a termination without Cause.

Without Cause. The Company may not terminate Executive's employment hereunder at any time without cause.

Termination by You. You may terminate your employment at any time for any reason, including, but not limited to, Good Reason. For purposes of this Agreement, “Good Reason” shall mean any of the following actions taken by the Company or a successor corporation or entity without your consent (unless such action is taken in response to conduct by Executive that constitutes Cause):
