Resignation from the Company without Good Reason. Executive may resign Executive’s employment with the Company for any reason other than Good Reason or for no reason.

“Good Reason” means the occurrence (without your express written consent) of any of the following:

Termination by the Company without Cause or Resignation by Employee for Good Reason (in connection with a Change in Control).

a voluntary termination by the Executive for Good Reason.

Termination Without Cause. The Company may terminate your employment hereunder at any time without Cause. Any termination by the Company of your employment under this Agreement which does not constitute a termination for Cause under clause 14.3 and does not result from your death or disability under clauses 14.1 or 14.2 shall be deemed a termination without Cause.

If the Company terminates your employment without Cause or you terminate your employment with Good Reason:

GOOD REASON. Upon a termination by the Employee for Good Reason. “Good Reason” shall mean the occurrence of any of the following circumstances, without the express written consent of the Employee, unless such circumstances are fully corrected in all material respects by the Company within thirty (30) days following written notification by the Employee to the Company of the occurrence of such circumstances:
