perform the duties for the Operating Committee set out in clause 5, and prepare and submit to the Operating Committee proposed Work Programs and Budgets and (if required) AFEs, as provided in clause 6;

SECTION #1Financial Statements and Budgets. Deliver to the Administrative Agent, in form and detail reasonably satisfactory to the Administrative Agent (which shall promptly make such information available to the Lenders in accordance with its customary practice):

“Rate Setting Process” means the process for periodically setting and adjusting the Non-Guaranteed Elements (including crediting rates), options budgets, ​ Allowances, target spreads and related values for cohorts of Reinsured Policies, as set forth in [Schedule II].

The Board is responsible for approving long-term strategic plans and annual operating plans and budgets recommended by the Company’s management. Board consideration and approval is also required for material contracts and business transactions, and all debt and equity financing transactions.

The above shall be carried by the General Treasurer of the Republic against funds that are annually contemplated in the Service of Public Indebtedness Program from the Budget Item Public Treasure of the Law of Budgets of the corresponding year.

Promptly upon [[Organization B:Organization]]’s request, such other books, records, statements, lists of property and accounts, budgets, forecasts or reports as to [[Organization A:Organization]] and as to each guarantor of [[Organization A:Organization]]’s obligations to [[Organization B:Organization]] as [[Organization B:Organization]] may request.

CLIENT shall pay OHL for the Services based on an open book basis guided by the estimated operating budgets set forth in this section. OHL will provide CLIENT with full and complete detail on each invoice illustrating costs incurred for each period.

The budgets and forecasts supplied under this Agreement were arrived at after careful consideration and have been prepared in good faith on the basis of recent historical information and on the basis of assumptions which were reasonable as at the date they were prepared and supplied.

Borrowers and Guarantors shall furnish or cause to be furnished to Administrative Agent such budgets, forecasts, projections and other information respecting the Collateral and the business of Borrowers and Guarantors, as Administrative Agent may, from time to time, reasonably request. Subject to the terms of [Section 13.5] hereof, Administrative

not later than the last day of the second month of each fiscal year of the Company, a detailed consolidated budget for such fiscal year (including a projected consolidated balance sheet and related statements of projected operations and cash flow as of the end of and for such fiscal year), consistent in form and substance with the budgets heretofore prepared by the Company and furnished to the Administrative Agent and, promptly when available, any significant revisions to such budget;
