Breach of Representations and Warranties. Any representation or warranty of the Borrower made herein or in any agreement, statement or certificate given in writing pursuant hereto or in connection herewith (including, without limitation, the Purchase Agreement), shall be false or misleading in any material respect when made and the breach of which has (or with the passage of time will have) a material adverse effect on the rights of the Holder with respect to this Note or the Purchase Agreement.

BREACH OF REPRESENTATIONS OR WARRANTIES.

a breach by Neuren of any of its warranties or representations contained within this Agreement;

Relating to a breach of any of the representations and warranties in Section 8.1; or

any misrepresentation in or breach or inaccuracy of # Buyer Fundamental Representations or # the other representations and warranties of Buyer set forth in this Agreement; or

a breach by ACADIA of any of its warranties or representations contained within this Agreement; and

not take any action that would cause a breach of the representations and warranties contained herein;

Section # Remedies for Breach of Representations and Warranties. Upon discovery by any party hereto of a breach of any of the representations and warranties set forth herein, such discovering party shall give prompt written notice to the other party. It is understood and agreed by the parties hereto that the representations and warranties set forth herein will continue in full force and effect for the remaining life of all Loan Participations, notwithstanding termination of this Servicing Agreement for any reason.

any misrepresentation in or breach or inaccuracy of # such Seller’s Individual Seller Fundamental Representations; # Company Fundamental Representations, # the representations and warranties of such Seller (other than such Seller’s Individual Seller Fundamental Representations) set forth in this Agreement, or # the representations and warranties of the Company (other than the Company Fundamental Representations) set forth in this Agreement or any Ancillary Document;

any breach or misrepresentation in any of the representations and warranties made by Seller in this Agreement;
