Your Consideration and Release. In exchange for the consideration the Company is providing under this Agreement, You agree as follows:
Termination of the Agreement By You. If you wish to terminate this Agreement with BHI and Booking.com with or without Good Reason, you will be required, and hereby explicitly agree, to give notice of termination of both the Agreement and the Employment Agreement simultaneously with due observance of the applicable notice period as specified in the Handbook of Booking.com, unless you, BHI, and Booking.com agree otherwise.
If you do not attend the Meeting, you can still make your vote count by appointing someone who will be there to act as your proxyholder. You can either tell your proxyholder how you want to vote or you can let your proxyholder decide for you. You can do this by completing a form of proxy.
You may indicate on your form of proxy how you wish your proxyholder to vote your shares. To do this, simply mark the appropriate boxes on the form of proxy. If you do this, your proxyholder must vote your shares in accordance with the instructions you have given.
You will receive housing in your Host location that is commensurate with your peers in that location. If you maintain your home location housing, 100% of the housing costs will be covered at your Host location. However, if you sell or rent your primary residence in your home location, 15% of your base salary will be deducted on a monthly basis. If you purchase property in the Host location, the cost becomes 100% your responsibility.
You will receive a signing bonus of $60,000 on the first payroll date following your Start Date. Should you terminate your employment prior to one year from your Start Date, you will be required to reimburse Mirna for the amount of your signing bonus; for the avoidance of doubt, you may keep the signing bonus in the event that you are terminated by Mirna without cause. Your signature on this letter authorizes us to deduct the amount of your signing bonus from your final paycheck should this occur. If there are any amounts not covered by your final paycheck you agree to repay them within 30 days of your separation.
You understand that you are providing the consent herein on a purely voluntary basis. If you do not consent, or if you later seek to revoke your consent, your employment status or service and career with your employer will not be adversely affected; the only adverse consequence of refusing or withdrawing your consent is that the Company would not be able to grant RSUs or other equity awards or administer or maintain such awards. Therefore, you understand that refusing or withdrawing your consent may affect your ability to participate in the Plan. For more information on the consequences of your refusal to consent or withdrawal of consent, you understand that you may contact your local human resources representative.
But if you should die on or after your last scheduled work date, any unpaid amount of the severance pay to which you were entitled will be paid in a lump sum either to your spouse or your estate (if you weren’t married on the date of your death).
Termination Due to Your Death. If you die, this Agreement and the Employment Agreement will automatically terminate.
