establishing, dissolving and overseeing Working Groups, as appropriate, to carry out its functions and resolving any Disputes that arise in such Working Groups; and

establishing, dissolving and overseeing Working Groups, as appropriate, to carry out its functions and resolving any Disputes that arise in such Working Groups; and

establishing, dissolving, and overseeing any JSC Working Groups as appropriate, to carry out its functions and resolving any Disputes that arise in such Working Groups;

Consolidated Groups. The Company is not, nor has it been since May 1, 2015, a party to or bound by any tax indemnity agreement, tax sharing agreement, cost sharing, tax allocation agreement or similar Contract (other than any commercial Contract entered into in the ordinary course of business the primary purpose of which is not related to Taxes). The Company does not have any liability for the Taxes of any Person (other than a member of the group the common parent of which was the Seller) under Section 1.1502-66] of the Treasury Regulations (or any similar provision of state, local or foreign law), as a transferee or successor, by Contract (other than any commercial Contract entered into in the ordinary course of business the primary purpose of which is not related to Taxes), by operation of law or otherwise.

the JRT, JDT, JMT and the JSC’s Working Groups;

Other Committees. The Parties may, by mutual agreement, form such other committees or working groups as may be necessary or desirable to facilitate the activities under this Agreement. Any dispute arising from such committees or working groups will be escalated to the JAC for resolution.

Subcommittee and Working Group Formation and Guidance. (a) forming subcommittees and working groups and # providing guidance and overseeing the activities of each such subcommittee or working group;

oversee the Global Development Working Group and create and oversee any subcommittees or other working groups as the JSC may deem appropriate;

establish subcommittees or working groups to oversee the day-to-day activities under the Research Plan;

establish, as appropriate, additional Subcommittees or working groups responsible for managing specific aspects of the Development Program as contemplated herein;
