Without Cause. The Company may not terminate Executive's employment hereunder at any time without cause.

Without Cause. If, during the Scheduled Term, but after the first anniversary of the Effective Date, the Company terminates your employment without Cause:

In order to receive the severance payment under this Paragraph, Executive must execute a waiver and general release of claims agreement in the form prescribed by the Company. For the purpose of determining Executive’s vested status, Executive will be considered to have been employed by the Company as of the applicable vesting date immediately following the date of Executive’s actual termination from employment without cause.
