Modifications and Waivers. No change, modification or waiver of any provision of this Guarantee Agreement shall be valid or binding unless it is in writing, dated subsequent to the Effective Date of this Guarantee Agreement, and signed by the Parties. No waiver of any breach, term, condition or remedy of this Guarantee Agreement by any Party shall constitute a subsequent waiver of the same or any other breach, term, condition or remedy. All remedies, either under this Guarantee Agreement, by law, or otherwise afforded the ​ shall be cumulative and not alternative.

The waiver by any Party of a breach of any provision of this GuaranteeGuaranty Agreement shallwill not operate or be validconstrued as a further or binding unless it is in writing, dated subsequent tocontinuing waiver of the Effective Date of this Guarantee Agreement, and signed by the Parties. Nobreach or as a waiver of any breach, term, conditionother or subsequent breach. No failure on the part of any Party to exercise, and no delay in exercising, any right, power or remedy under this Guaranty Agreement will operate as a waiver, nor will any single or partial exercise of this Guarantee Agreementsuch right, power or remedy by anysuch Party shall constitute a subsequent waiver of the same orpreclude any other breach, term, conditionor further waiver or the exercise of any other right, power or remedy. All remedies, either under this Guarantee Agreement, by law, or otherwise afforded the ​ shall be cumulative and not alternative.
