Amendments and Waivers. No modification of or amendment to this Agreement, nor any waiver of any rights under this Agreement, shall be effective unless in writing signed by the parties to this Agreement. No delay or failure to require performance of any provision of this Agreement shall constitute a waiver of that provision as to that or any other instance.

Waivers and Amendments. Such Defaulting Lender’s right to approve or disapprove any amendment, waiver or consent with respect to this Agreement shall be restricted as set forth in the definition of “Required Lenders” and Section 11.01.

Amendments and Waivers. This Agreement may be amended, and any provision of this Agreement may be waived; provided that any such amendment or waiver will be binding upon # a Seller Stockholder only if such amendment or waiver is set forth in a writing executed by Seller Stockholder Representative, and # each other Party hereto only if such amendment or waiver is set forth in a writing executed such Party. No course of dealing between or among any Persons having any interest in this Agreement shall be deemed effective to modify, amend or waive any part of this Agreement or any rights or obligations of any Person under or by reason of this Agreement. No waiver of any of the provisions of this Agreement shall be deemed or shall constitute a waiver of any other provisions, whether or not similar, nor shall any waiver constitute a continuing waiver.

Waivers and Amendments. That Defaulting Lender’s right to approve or disapprove any amendment, waiver or consent with respect to this Agreement shall be restricted as set forth in Section 11.01.

Waivers and Amendments. The Individual 5-Year Commitment of such Defaulting Lender (and any Voting Participant entitled to vote on behalf of such Defaulting Lender) shall not be included in determining whether the Required Lenders have taken or may take any action under this Credit Agreement or the Loan Documents (including any consent to any action, amendment or waiver pursuant to [Subsection 15.10.2]).

Amendments and Waivers. This Note may not be amended and provisions hereunder may not be waived without the written consent of each of the Company and the Requisite Holders (or the Holder pursuant to [Section 8.9] of the Purchase Agreement).
