In return for the benefits set forth in the Severance Agreement, the Employee, on behalf of Employee, Employee’s heirs, executors, family members, beneficiaries, assignees, administrators, successors, and executors or anyone acting or claiming to act on the Employee’s behalf, hereby releases and forever discharges the Company and all divisions, parent, subsidiaries, and successors, and all affiliated organizations, companies, foundations, and other corporations as well as past and present employees, agents, officials, officers, directors, Board members and representatives, both individually and in their representative capacities, from any and all claims or causes of action of any type, both known or unknown, asserted and unasserted, direct and indirect, and of any kind, nature, or description whatsoever, under any local, state, or federal law(s), or the common law of the State of Minnesota, arising or such may have arisen at any time up to and including the Effective Date which date is set forth in Section I of this Agreement. This includes, but is not limited to, any and all claims arising from the Employee’s employment with the Company and the termination of that employment, including claims arising under any applicable state Human Rights laws, Title VII of the 1964 Civil Rights Act, the Age Discrimination in Employment Act, the Americans with Disabilities Act, the Family and Medical Leave Act, the Federal, Minnesota State Fair Labor Standards Acts, the Employee Retirement Income Security Act, and any other local, state, or federal law(s) relating to illegal discrimination in the workplace on the basis of race, religion, disability, sex, age, or other characteristics or traits, as well as any claims that the Employee may have been wrongfully discharged, that an employment contract has been breached, that the Employee has been harassed or otherwise treated unfairly during employment, or that the Employee has been defamed in any fashion. This release includes any claims for attorneys’ fees that the Employee has or may have had. The Employee acknowledges that the severance benefits set forth the Severance Agreement constitute adequate consideration for this release.
Voluntary Resignation. In the event the Employee voluntarily ceases to be an employee of the Employer for any reason other than a Termination For Good Reason following a Change in Control, the RSUs that have not vested in accordance with Section 3 shall be canceled and forfeited on the date of such voluntary termination of employment.
Voluntary Prepayment. Subject to Section 22 hereof, the Borrower may, at any time and from time to time on any Business Day, prepay the outstanding principal amount of the Loans, in whole or in part, together with accrued interest to the date of such prepayment on the aggregate principal prepaid.
Voluntary Prepayments. Except as otherwise provided in this [Section 2.4], shall not have the right to prepay the Loan (either in whole or in part). may elect, at its option and upon thirty (30) days prior written notice to (or such shorter period of time as may be permitted by in its sole discretion), which election shall be irrevocable, to prepay the Debt in whole (but not in part) on any Payment Date so long as the Exit Fee and the Minimum Interest Payment Amount, in each case to the extent applicable, is paid in accordance with this [Section 2.4]; provided, however, if for any reason prepays the Loan on a date other than a Payment Date, shall also pay # all interest which would have accrued on the amount of the Loan had the Loan actually been repaid on the Payment Date next occurring following the date of such prepayment (such amount, the “Interest Shortfall”) and # the Breakage Costs. As a condition to any voluntary prepayment, the notice of prepayment may not be given to more than ninety (90) days prior to the Payment Date upon which prepayment is to be made and hereby agrees that, in the event delivers a notice and fails to prepay the Loan in accordance with such notice and the terms of this [Section 2.4], shall pay all reasonable out‑of‑pocket costs and expenses incurred by , including, without limitation, any Breakage Costs or similar expenses, as a result of such failure.
In the event that the Executive voluntarily resigns without Good Reason, the Executive will give a minimum of three (3) months advance written notice to the Company and the Company may accelerate the effective date of termination to any other date up to the date of notice of acceleration.
Voluntary Prepayment. Co-Borrowers shall have the option to prepay all, but not less than all, of the Growth Capital Advances advanced by Bank under this Agreement, provided Co-Borrowers # deliver written notice to Bank of its election to prepay such Growth Capital Advances at least ten (10) Business Days prior to such prepayment, # pays, on the date of such prepayment # all outstanding principal, plus accrued and unpaid interest thereon, # the Final Payment, # the Prepayment Fee, and # all other sums, if any, that shall have become due and payable hereunder in connection with the Growth Capital Advances.
Voluntary Prepayment. [[Organization A:Organization]] may prepay the Obligations in whole (but not in part) at any time; provided, that no prepayment in respect of Revolving B Advances shall be made unless the Revolving A Facility Usage has been reduced to zero.
Borrower shall have the right to prepay the Delayed Draw-Down Term Loans, without premium or penalty, in whole or in part at any time and from time to time on the following terms and conditions: # Borrower shall give Lender prior to (Omaha time) at the Notice Office at least two Business Days’ prior written notice (or telephonic notice promptly confirmed in writing, provided, that, at Lender’s election, the failure to provide written confirmation will not affect the validity of the notice) of its intent to prepay such Loans, which notice (in each case) shall specify whether Delayed Draw-Down Term Loans shall be prepaid and the amount of such prepayment; and # each partial prepayment of Delayed Draw-Down Term Loans pursuant to this [Section 4.01(a)] shall be in an aggregate principal amount of at least (or such lesser amount as is acceptable to Lender). Each notice delivered by Borrower pursuant to this [Section 4.01(a)] shall be irrevocable, provided that a notice of prepayment of any Delayed Draw-Down Term Loans then outstanding may state that such notice is conditioned upon the receipt of proceeds from the incurrence or issuance of Indebtedness or equity interests or the effectiveness of other credit facilities.
Voluntary Reduction. The Borrower shall have the right at any time and from time to time, upon at least three # Business Days prior irrevocable written notice to the Administrative Agent, to permanently reduce, without premium or penalty, # the entire Revolving Credit Commitment at any time or # portions of the Revolving Credit Commitment, from time to time, in an aggregate principal amount not less than or any whole multiple of in excess thereof. Any reduction of the Revolving Credit Commitment shall be applied to the Revolving Credit Commitment of each Revolving Credit Lender according to its Revolving Credit Commitment Percentage. All Commitment Fees accrued until the effective date of any termination of the Revolving Credit Commitment shall be paid on the effective date of such termination. Notwithstanding the foregoing, any notice to reduce the Revolving Credit Commitment delivered in connection with any refinancing of all of the Credit Facility with the proceeds of such refinancing or of any incurrence of Indebtedness or the occurrence of some other identifiable event or condition, may be, if expressly so stated to be, contingent upon the consummation of such refinancing or incurrence or occurrence of such identifiable event or condition and may be revoked by the Borrower in the event such contingency is not met (provided that the failure of such contingency shall not relieve the Borrower from its obligations in respect thereof under [Section 5.9]).
Voluntary Prepayments.
