Vesting. Subject to Sections 3 and 8 below, the Performance RSUs shall vest in accordance with the performance-based and time-based vesting conditions, as applicable, set forth in Exhibit A. Notwithstanding provisions to the contrary and subject to the provisions of Section 7 below, the Company may cause such number of Performance RSUs to vest prior to the vesting dates and issuance of the Company’s common stock in satisfaction thereof to the extent necessary to satisfy any Tax-Related Items (as defined in Section 7 below) that may arise before the vesting dates.

Whether and to vest priorwhat extent the Performance RSUs shall become vested and earned shall be determined at a meeting of the Committee (such meeting date, the “Performance Vesting Date”) as soon as practicable following the end of the Performance Period pursuant to a certification by the vesting dates and issuanceCommittee of the Company’s common stock in satisfaction thereof toachievement, if any, of the extent necessary to satisfy any Tax-Related Items (as defined in Section 7 below) that may arise before the vesting dates.applicable performance goals set forth on [Exhibit A] hereto.
