Upfront Payment. Subject to the terms and conditions of this Agreement, Lian will pay Lyra a non-refundable, non-creditable, and not subject to set-off payment in the amount of $12,000,000 U.S. Dollars, which upfront payment will be due and payable to Lyra within ​ Business Days following the Effective Date.

Upfront Payment. Licensee shall make a one-time, non-refundable, non‑creditable upfront payment to Ovid of twenty million dollars ($20,000,000) within five (5) business days after the Effective Date.

Upfront Payment. Within ​ following the Effective Date, PARTNER shall pay REGENX a nonrefundable and non-creditable upfront amount equal to Three Hundred Seventy Million Dollars ($370,000,000).

Upfront Payment. In accordance with the terms and conditions of this Agreement, Licensee will pay to MSD a non-refundable, non-creditable, up-front payment of twenty-five million Dollars ($25,000,000), which will be wire transferred within ​ days after the Effective Date.

As partial consideration for the licenses and other rights granted by Relay to Licensee under this Agreement, Licensee will pay Relay, in accordance with [Section 11.1.4], a non-refundable, non-creditable initial payment of Seventy Five Million Dollars ($75,000,000) upon completion of all activities under the Technology Transfer Plan that are scheduled to be completed as of the Effective Date, including providing Licensee with complete access (including the ability to download) to all information and data in the data room to which Licensee was provided “read only” access as part of its due diligence activities conducted prior to the Execution Date (the “Immediate Tech Transfer Activities”).

Upfront Payment. No later than ​ after receipt of an invoice from HFB, which invoice may be provided beginning on the Effective Date, [[FibroGen:Organization]] will pay to HFB a one-time, non-refundable, non-creditable payment in the amount of twenty-five million dollars ($25,000,000) (the “Upfront Payment”) ​.

Upfront Payment. In partial consideration of the licenses granted to GSK under Section 9.1 (License Grant to GSK), GSK shall pay ITEOS Six Hundred Twenty-Five Million Dollars ($625,000,000.00) within ​ after the Effective Date and upon receipt of a valid invoice from ITEOS. Such payment shall be non-creditable and non-refundable.

Upfront Payment. Within ​ after the Effective Date, ​, CANbridge will pay LogicBio a one‑time, non‑refundable, non‑creditable upfront payment of Ten Million Dollars ($10,000,000). LogicBio hereby acknowledges the full and timely payment of such amount by CANbridge.

Upfront Payment. In consideration for the rights and licenses set forth herein, no later than thirty (30) days after Roche’s receipt of an invoice therefor from Poseida promptly issued following the Effective Date, Roche shall pay Poseida a one-time, non-creditable, non-refundable upfront payment in the amount of one hundred ten million US Dollars ($110,000,000).

Upfront Payment. Zai shall pay to NVCR a one-time, non-refundable, non-creditable upfront payment of fifteen million Dollars ($15,000,000) within ​ Business Days after the Effective Date.
