Unrestricted Shares. Notwithstanding anything to the contrary in this Plan, the Committee shall have the right to grant Awards of Restricted Stock to employees of the Company that are not evidenced by an Agreement, which are fully vested as of the grant date of the Award and which do not contain a restrictive legend. The amount of any aggregate Awards under this [Section 8(f)] shall not exceed 10,000 shares and any individual Award under this [Section 8(f)] shall not exceed 5 shares.

Release of Unrestricted Shares. Upon the vesting of Restricted Shares and the corresponding lapse of the transfer restrictions, and after the Company has determined that all conditions to the release of unrestricted Shares to you, including compliance with all applicable legal requirements, have been satisfied, it shall release to you the unrestricted Shares, as evidenced by issuance to you of a stock certificate without restrictive legend, by electronic delivery of such Shares to a brokerage account designated by you, or by an unrestricted book-entry registration of such Shares with the Company’s transfer agent.

Unrestricted Subsidiaries. Simultaneously with the delivery of each set of consolidated financial statements referred to in [[Sections 6.01(a) and 6.01(b)])]])] above, such supplemental financial information (which need not be audited) as is necessary to eliminate the accounts of Unrestricted Subsidiaries (if any) from such consolidated financial statements.

Unrestricted Subsidiaries. Together with the delivery of a Compliance Certificate with respect to the financial statements referred to in [Section 6.01(a)], a list of each Subsidiary of the ​ that identifies each Subsidiary that is an Unrestricted Subsidiary, if any, as of the date of delivery of such Compliance Certificate or a confirmation that there is no change in such information since the later of the Closing Date and the date of the last such list.

Except as otherwise provided for in [Section 21], the Administrator may, in its sole discretion, grant (or sell at not less than 100% of the Fair Market Value or such other higher purchase price determined by the Administrator in the Award Agreement) an Award of unrestricted Shares to any Grantee pursuant to which such Grantee may receive Shares free of any restrictions under this Plan. Holders of such Shares from an Award of Unrestricted Shares which have not yet vested are not entitled to receive dividends, however, dividends may be accrued and paid upon the vesting of such Shares.

DH-LT Investments GmbH is interested in acquiring 1,896,882 Unrestricted dievini Shares in the Company (the “Shares”) from ​ invest GmbH (the “Seller”) on ​ (the “Acquisition Date”). Upon completion of the disposal, dievini and the dievini Shareholders will be left with a total of 49,897,938 Restricted Shares and 28,464,086 Unrestricted dievini Shares, of which dievini itself holds 20,948.594 Unrestricted dievini Shares, DH-LT Investments GmbH will initially hold 1,896,882 Unrestricted dievini Shares, MH-LT Investments GmbH will initially hold 495,504 Unrestricted dievini Shares and Zweite DH Verwaltungs GmbH will initially hold 1,100,000 Unrestricted dievini Shares.

“Unrestricted Stock Award” means an Award of shares of Stock free of any restrictions.

Incentive Plan (the “2012 Plan”). The number of unrestricted shares of the Company’s common

the distribution, by dividend or otherwise, of shares of Equity Interests of, or Indebtedness owed to Holdings, a Borrower or a Restricted Subsidiary by, Unrestricted Subsidiaries (other than Unrestricted Subsidiaries, the primary assets of which are Permitted Investments);

“Stock Award” means unrestricted shares of Stock granted to an Eligible Person under [Section 6(f)] hereof.
