Unquoted Investments—External Review. With respect to each Portfolio Investment included in the Borrowing Base for which market quotations are not readily available (each, an “Unquoted Investment”), as determined by the Borrower, the Borrower shall, commencing with the fiscal quarter ending ​, value such Unquoted Investments quarterly in a manner consistent with its Valuation Policy and, solely with respect to Portfolio Investments in the Borrowing Base (other than any Portfolio Investments that the Administrative Agent has most recently notified the Borrower that it intends to have an Approved Third-Party Appraiser selected by the Administrative Agent value), request an Approved Third-Party Appraiser to assist the Advisor (so long as it has the necessary delegated authority) or the board of directors of the Borrower (or the appropriate committee thereof with the necessary delegated authority) in determining the fair market value of such Unquoted Investments # with respect to Unquoted Investments held for a full calendar year, as at the last day of two non-consecutive fiscal quarters each

Quoted Investments—External Review. With respect to each Portfolio Investment that is a Quoted Investment, the Borrower shall, not less frequently than once each calendar month, determine the market value of such Portfolio Investments in accordance with its Investment Policies; provided that such determinations shall be required not less frequently than once each calendar week at any time that, and for so long as, Quoted Investments compose at least 10% of the Borrowing Base.

Unquoted Investments. (i) With respect to Unquoted Investments, the fair value of such Investment shall be determined, not less frequently than once per Fiscal Quarter, in accordance with, the Investment Company Act and any orders of the Securities and Exchange Commission by the Board of Directors of the Borrower in its good faith judgment and consistent with past practices as described in the Borrower’s reports and other filings filed with the Securities

“Unquoted Investments” means Investments other than Quoted Investments.

“Unquoted Investment” means a Portfolio Investment for which market quotations from an Approved Pricing Service, or, in the case of Eligible Senior Bank Loan Investments, an Approved Pricing Service or Approved Dealer, are not readily available. Only Cash, Cash Equivalents, Eligible Core Portfolio Investments and Eligible Unquoted Senior Bank Loan Investments may be Unquoted Investments.

External Events. Expenses incurred in connection with extraordinary, non-recurring events (such as natural disasters, terrorist attacks, pandemics, industry-wide food-borne illness, etc.) will be adjusted in Base Year EPS and/or Ending Year EPS to the extent necessary to neutralize the impact of the event in both calculations.

Investments. Borrower will not, and will not permit Parent or any other Subsidiary of Parent to directly or indirectly, make or acquire any Investment or incur any liabilities (including contingent obligations) for or in connection with any Investment except for Permitted Investments.

Set forth in Part B of [Schedule IV] is a complete and correct list of all Investments (other than Investments of the types referred to in [[clauses (a), (c) and (d) of Section 6.04]4]4]]) held by any of the ​ in any Person on the Effective Date and, for each such Investment, # the identity of the Person or Persons holding such Investment and # the nature of such Investment. Except as disclosed in Part B of [Schedule IV], each of the Borrower and such other ​ owns, free and clear of all Liens (other than Permitted Liens or Liens created pursuant to the Security Documents), all such Investments.
