“United States” and “U.S.” mean the United States of America.

Consultants often are grateful for [[United Rentals:Organization]]’ business and sometimes wish to express that appreciation in a tangible way. The result may be a very positive and well meaning gesture that nonetheless puts both [[United Rentals:Organization]] and Consultant in a particularly difficult position. In order to prevent that from happening, [[United Rentals:Organization]] has clearly defined the responsibilities that [[United Rentals:Organization]]’ employees have when interacting with Consultants. [[United Rentals:Organization]] expects that both its employees and Consultants will always comply with the highest ethical standards.

“Sanctions” means economic, financial and trade sanctions administered or enforced by the United States (including OFAC, U.S. Department of State, and U.S. Department of Commerce); European Union; Germany, United Kingdom (including His Majesty’s Treasury); and United Nations Security Council.

“Dollars” or “$” means United States dollars or such currency of the United States of America as at the time of payment shall be legal tender for the payment of public and private debts in the United States of America.

names of, arrangements with, or other information relating to, [[United Rentals:Organization]]’ customers, equipment suppliers, manufacturers, financiers, owners or operators, Representatives and other persons who have business relationships with [[United Rentals:Organization]] or who are prospects for business relationships with [[United Rentals:Organization]];

economic or financial sanctions or trade embargoes imposed, administered or enforced from time to time by # the United States government and administered by OFAC, # the United Nations Security Council, # the European Union or # Her Majesty’s Treasury of the United Kingdom; and

Consultant and its Representatives will hold all Trade Secrets and Confidential Information of [[United Rentals:Organization]] in trust for [[United Rentals:Organization]] and will not use any of them for any purpose other than on behalf of and for the benefit of [[United Rentals:Organization]].

“Sanctions” shall mean any economic or financial sanctions or trade embargoes administered or enforced by the United States Department of Treasury’s Office of Foreign Assets Control, the United States Departments of State or Commerce or any other United States governmental authority.

Section # Compliance with Laws and Regulation. To the best of the knowledge of RQS United, RQS United and Roshing have each complied with all applicable statutes and regulations of any governmental entity or agency thereof with jurisdiction over RQS United or over Roshing, except to the extent that noncompliance would not materially and adversely affect the business, operations, properties, assets, or condition of RQS United and Roshing.

The purpose of the United Rentals, Inc. 2019 Annual Incentive Compensation Plan (this “Plan”) is to attract, retain and motivate selected executive officers and employees of United Rentals, Inc. (“United Rentals”) and its subsidiaries and affiliates (together with United Rentals, and their and its successors and assigns, the “Company”) in order to promote the Company’s growth and profitability. This Plan replaces the United Rentals, Inc. 2014 Annual Incentive Compensation Plan beginning with the Performance Period (as defined in Section 4) from January 1, 2019 through December 31, 2019.
