“Transition Services” means, collectively, the transition services described in this Agreement.

“IT Transition Services” means the Transition Services set forth in Article 3.

“Transition Services Agreement” means the transition services agreement in the form of Exhibit E-11] hereto.

“Transition Services Agreement” means that certain Transition Services Agreement between DMI and [[CST:Organization]], dated October 1, 2014.

“Transition Services Agreement”: Any transition services agreement to be entered into between Landlord and Tenant pursuant to [Article XXXVI].

Closing Cash Amount and Transition Services Fee. At the Closing, Buyer shall tender to Seller a cash payment equal to the Closing Cash Amount (as adjusted pursuant to Section 2.02). This payment shall be made to Seller according to wire instructions or other payment instructions provided by Seller to Buyer prior to the Closing.

“Transition Services Agreement” shall mean that certain Transition Services Agreement dated as of the date hereof between J.Crew and Madewell.

“Transition Services Agreement” means the Transition Services Agreement, dated as of August 21, 2020, among Smith & Wesson Brands, Inc. and Parent.

a Transition Services Agreement substantially in the form attached hereto as Exhibit D (the “Transition Services Agreement”), duly executed by Seller;

Transition Period. As of the Effective Date, the Employee shall remain in the position of Chief Financial Officer (“CFO”) of the Company and will serve in that role until the Separation Date (such period, the “Transition Period”) unless earlier terminated in accordance with this Agreement. Effective as of the Separation Date, the Employee’s employment with the Company shall terminate.
