Sublimits. If after giving effect to any reduction or termination of Revolving Commitments under this [Section 2.06], the Letter of Credit Sublimit or the Swingline Sublimit exceeds the Revolving Facility at such time, the Letter of Credit Sublimit or the Swingline Sublimit, as the case may be, shall be automatically reduced by the amount of such excess.

If after giving effect to any reduction or termination of Revolving Credit Commitments under this [Section 2.06], the Letter of Credit Sublimit or the SwinglineSwing Line Sublimit exceeds the Revolving Credit Facility at such time, the Letter of Credit Sublimit or the SwinglineSwing Line Sublimit, as the case may be, shall be automatically reduced by the amount of such excess.

If after giving effect to any reduction or termination of Revolving Commitments under this [Section 2.06]08], the Letter of Credit Sublimit or the SwinglineSwing Line Sublimit exceeds the amount of the Revolving FacilityCommitments at such time, the Letter of Credit Sublimit or the SwinglineSwing Line Sublimit, as the case may be, shall be automatically reduced by the amount of such excess.

If after giving effect to any reduction or termination of Revolvingunused Commitments under this [Section 2.06], the Letter of Credit Sublimit or the Swingline Sublimit exceeds the amount of the Total Revolving Facility at such time,Credit Commitments, the Letter of Credit Sublimit or the Swingline Sublimit, as the case may be, shall be automatically reduced by the amount of such excess.

If, after giving effect to any reduction or termination of the Revolving Commitments under this [Section 2.06],Commitments, the Letter of Credit Sublimit or the Swingline Sublimit exceeds the amount of the Revolving Facility atCommitments, such time, the Letter of Credit Sublimit or the Swingline Sublimit, as the case may be, shall be automatically reduced by the amount of such excess.

amount of Revolving Commitments under this [Section 2.06],such Issuing Bank’s Letter of Credit Percentage of the Letter of Credit Sublimit or # the Swingline Sublimit exceedsSwing Line Sublimit, if after giving effect to any concurrent payment of Swing Line Loans in accordance with [Section 2.07], the Total Utilization of Revolving Facility atCommitments with respect to Swing Line Loans would exceed the Swing Line Sublimit. Notwithstanding the foregoing, the ​ may rescind or postpone any notice of termination of the Commitments if such time,termination would have resulted from a refinancing of all or a portion of the Letter of Credit Sublimitapplicable Facility, which refinancing shall not be consummated or the Swingline Sublimit, as the case may be,otherwise shall be automatically reduced by the amount of such excess.delayed.

Optional. The Borrower may, upon notice to any reduction or termination ofthe Administrative Agent, terminate the Revolving Commitments under this [Section 2.06],Credit Facility, the Letter of Credit Sublimit or the Swingline Sublimit exceedsSwing Line Sublimit, or from time to time permanently reduce the Revolving Facility at such time,Credit Facility, the Letter of Credit Sublimit or the SwinglineSwing Line Sublimit, as the case may be,in each case, in whole or in part, without premium or penalty and subject to any payments required under [Section 3.05]; provided that # any such notice shall be automaticallyreceived by the Administrative Agent not later than ​ three Business Days prior to the date of termination or reduction, # any such partial reduction shall be in an aggregate amount of ​ or any whole multiple of ​ in excess thereof and # the Borrower shall not terminate or reduce # the Revolving Credit Facility if, after giving effect thereto and to any concurrent prepayments hereunder, the Total Revolving Credit Outstandings would exceed the Revolving Credit Facility, # the Letter of Credit Sublimit if, after giving effect thereto, the Outstanding Amount of L/C Obligations not fully Cash Collateralized hereunder would exceed the Letter of Credit Sublimit, or # the Swing Line Sublimit if, after giving effect thereto and to any concurrent prepayments hereunder, the Outstanding Amount of Swing Line Loans would exceed the Swing Line Sublimit. Notwithstanding anything to the contrary contained herein, any notice of termination may state that it is conditioned upon the occurrence or non-occurrence of any event specified therein (including the effectiveness of other credit facilities), in which case such notice may be revoked by the Borrower (by written notice on or prior to the specified effective date) if such condition is not satisfied. The Administrative Agent will promptly notify the Lenders of any termination or reduction of the Letter of Credit Sublimit, Swing Line Sublimit or the Revolving Credit Facility under this [Section 2.06]. Upon any reduction of the Revolving Credit Commitments, the Revolving Credit Commitment of each Revolving Credit Lender shall be reduced by the amountsuch Lender’s Applicable Revolving Credit Percentage of such excess.reduction amount.
