In making its decision on a review of any claim denial that is based in whole or in part on a medical judgment, including determinations with regard to whether a particular treatment, drug, or other item is experimental, investigational, or not medically necessary or appropriate, consulting with a health care professional who has appropriate training and experience in the field of medicine involved in the medical judgment,

#[[Organization A:Organization]] shall provide, at the rates and fees specified in an Order, if any, the training classes called for in an Order in use, operation and maintenance of the Software for [[Bank of America:Organization]] personnel on [[Bank of America:Organization]] premises on dates to be specified by [[Bank of America:Organization]]. [[Organization A:Organization]] shall provide training Documentation for each attendee at any classes [[Organization A:Organization]] conducts. Prices for additional classes, if any, shall be specified in an Order. If [[Organization A:Organization]] agrees to allow [[Bank of America:Organization]] to train [[Bank of America:Organization]] personnel, [[Organization A:Organization]] shall provide [[Bank of America:Organization]], at the rates and fees specified in an Order, if any, all trainer/class leadership materials [[Organization A:Organization]] has available or used in connection with the classes conducted for [[Bank of America:Organization]]. [[Bank of America:Organization]] may duplicate these materials for [[Bank of America:Organization]]’s use exclusively and use them to conduct other classes at [[Bank of America:Organization]]’s convenience.

“Business” means # the provision of educational services to individuals at the secondary through post-secondary levels of education and/or training services to individuals seeking professional certifications or professional education by # a market funded institution offering degree and non-degree programs # at classroom locations in multiple states and/or through an online curriculum delivery mechanism, and # any other business directly engaged in by ​ and its Affiliates during the Employment Period.

Employee acknowledges that all notes, data, forms, reference and training materials, leads, memoranda, computer programs, computer print-outs, disks and the information contained in any computer, and any other records that contain, reflect or describe any Confidential Information and Trade Secrets belong exclusively to Employer. Employee shall promptly return such materials and all copies thereof in Employee’s possession to Employer upon termination of his employment, regardless of the reasons therefor.

In consideration of the employment of the Employee by the Company, the Employee’s eligibility to participate in the Company’s equity incentive plan, bonus plan or other benefits plan as applicable, the Special Consideration (as defined below), or as set forth therein, the training provided to Employee, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Employee hereby agrees with the Company as follows:

Given the relatively small composition of the Board since incorporation, the Company has not yet developed an official orientation or training program for new directors. As required, new directors will have the opportunity to become familiar with the Company and its business by meeting with the other directors and with officers and employees. Orientation activities will be tailored to the particular needs and experience of each director and the overall needs of the board.

Company Property and Return of Property. Executive acknowledges that as of the end of the Transition Period, she will return her Patterson-issued cellular phone and her Patterson-issued computer to the Company for processing. Within 21 days after the Transition Period, she will return all originals and copies of any documents, materials or property of Patterson, whether generated by her or any other person on her behalf or on behalf of Patterson or its vendors. To the extent not previously provided, Owners shall review and approve all Service Provider Safeguards Information (“SGI”) and Security Related Information (“SRI”) control and access procedures for the Project and revisions and training requirements that could impact performance of Owners’ SGI activities prior to issuance or implementation. Service Provider shall perform a 100% Owners’ SGI inventory/accountability check annually. Notification shall be given to Owners prior to start of the inventory/accountability checks, and results from those checks shall be formally reported to Owners.

Deliverables, solely for the purposes of Facility (and associated simulators) construction, testing, completion of ITAACs, start-up, trouble-shooting, response to plant events, inspection, evaluation of system or component performance, scheduling, investigations, operation, maintenance, training, repair, licensing, modification, decommissioning and compliance with Laws or Government Authorities (collectively, the “Facility Purposes”). Nothing herein grants the right to Owners (or implies a license under any patent) to sell, license, lease, or cause to have sold any Confidential and Proprietary Information supplied by Service Provider under this Agreement.
