Seller does not contribute to, is not required to contribute or has never contributed to, any multiemployer plan as defined in [Section 4001(a)] of ERISA or an employee benefit plan subject to Title IV of ERISA. No Employee Plan is subject to Title IV of ERISA or the minimum funding requirements of Section 412 of the Code or [Section 302] of ERISA.

With respect to any defined benefit plan that is subject to [Section 302] of ERISA or Section 412 of the Code or any multiemployer plan (as defined in [Section 3(37)] of ERISA) subject to Title IV of ERISA that is sponsored, maintained or contributed to by any ERISA Affiliate of the ​, the minimum funding requirementsobligations have been satisfied and all contributions required to be paid by the ​’s ERISA Affiliates have been timely paid to the applicable plan and, except as set forth in [Section 3 of Section 412Schedule 4.9], no ERISA Affiliate has incurred any withdrawal liability under Title IV of ERISA which remains unsatisfied.
