No Benefit Plan is a “multiemployer plan” as defined in [Section 3(37)] of ERISA (a “Multiemployer Plan”) or is subject to Title IV of ERISA or Section 412 of the Code and, in the last six (6) years, neither the Company nor any of its Subsidiaries has sponsored, maintained or contributed to a plan that is a Multiemployer Plan or is subject to Title IV of ERISA or Section 412 of the Code. No Benefit Plan is maintained in connection with any trust described in Section 501(c)(9) of the Code.

The Company does not currently maintain or contribute to, or has sponsored,ever maintained or contributed to or in any way directly or indirectly had any Liability (whether contingent or otherwise) with respect to any “multiemployer plan,” within the meaning of [[Section 3(37) or 4001(a)(3)])]])] of ERISA. The Company is not or has not in the past been a plan that ismember of a Multiemployer Plan“controlled group” for purposes of [[Section 414(b), (c), (m) or (o)])])])]])])])] of the Code, nor does the Company have any Liability with respect to any collectively-bargained for plans, whether or not subject to the provisions of ERISA. The Company does not currently maintain or has ever maintained, or is subjectrequired currently or has ever been required to Title IV of ERISAcontribute to or Section 412 of the Code. No Benefit Plan is maintained in connection with any trust describedotherwise participate in, a multiple employer welfare arrangement or voluntary employees’ beneficiary association as defined in Section 501(c)(9) of the Code.
