The Executive shall devote his full working time, attention and abilities to the business and affairs of the Company and its Affiliates and shall serve the Company and its Affiliates faithfully and use his best efforts to promote the interests of the Company and its Affiliates. The Executive shall not, without prior approval of the Board, act as a director or officer of, or a business adviser to, any other Person (other than non-profit or charitable entities), other than the Company or any of its Affiliates.

Devotion of Time; General Responsibilities. Employee shall devote Employee's full and exclusive business time and efforts to the rendition of such services. Employee shall at all times perform such services in compliance with any and all laws, rules, regulations, and policies applicable to the Company. Employee shall, at all times during his employment adhere to and obey any and all written internal rules and regulations governing the conduct of the Company’s employees, as established or modified from time to time; provided, however, that, in the event of any conflict between the provisions of this Agreement and any such rules or regulations, the provisions of this Agreement shall control. Employee acknowledges that the Company is a public company and that Employee shall be required to adhere to the Company’s policies related thereto.

Devotion of Entire time to the ​’s Business.

Time. Time is of the essence regarding this Lease and all of its provisions.

Time Estimates. Due to the unpredictable nature of the Development Services, the time schedule set down for the performance of these Services in a Work Order is an estimate only. Upon completion or near completion of early-phase program elements, the project teams will establish a more definitive time schedule estimate for Manufacturing Services.

Time References. Unless the context of this Agreement or any other Loan Document clearly requires otherwise, all references to time of day refer to Pacific standard time or Pacific daylight saving time, as in effect in Los Angeles, California on such day. For purposes of the computation of a period of time from a specified date to a later specified date, the word "from" means "from and including" and the words "to" and "until" each means "to and including"; provided that, with respect to a computation of fees or interest payable to Agent or any Lender, such period shall in any event consist of at least one full day.

Time Limitation. If a Brand Partner wishes to bring an action against NewYou for any act or omission relating to or arising from the Agreement, such action must be brought within one (1) year from the date of the alleged conduct giving rise to the cause of action. You waive all claims that any other statutes of limitations apply.

Specified Time. A specified time or a fixed schedule;

Time Periods. Any portion of a full calendar month or year will be prorated on a full calendar basis, without differential related to such considerations as working days or holidays. Any portion of a day will be treated as a full day, and measurement days will begin and end at ​, current time. The fiscal year of the Company will be treated for all purposes as it is for financial reporting purposes.

Time Commitment. During the Term, ​ shall # dedicate that amount of his business time and attention that he deems reasonably necessary to the performance of the services hereunder (not to exceed 30 hours per month), # perform the services at such locations as he reasonably deems appropriate, # use his reasonable best efforts to promote the best interests of the Company, and # perform the services professionally and consistent with the applicable performance standards of the Company. Notwithstanding the foregoing, the Company and ​ shall use their reasonable best efforts to ensure that the level of ​' services under this Agreement shall not exceed 20% of the average level of services ​ performed over the 36-month period immediately preceding the Effective Date, consistent with the intent that ​' termination of employment with the Company constitutes a "separation from service" (within the meaning of Section 409A of the Internal Revenue Code of 1986, as amended (the "Code")).
