Time and Place of Closing. Upon satisfaction or waiver of the conditions set forth in this Agreement and its Amendments, the closing of the Transaction (the "Closing") will take place in Santa Barbara, California at ​ (local time) on the date that the Parties may mutually agree in writing, but in no event later than ​ (the "Closing Date"), unless extended by mutual written agreement of the Parties.

Time and Place of Closing. The Closing shall take place at the offices of the Company at ​ on the date that Purchase Price is paid in full by the Purchaser or on such other date as is mutually agreeable to Purchaser and the Company. The date of the Closing is herein referred to as the "Closing Date."

Time, Date and Place of Closing. The execution and delivery of the documents required to consummate the transactions contemplated by this Agreement (the "Closing") shall take place at the offices of Pearlman Schneider LLP, 2200 NW Corporate Boulevard, Suite 210, Boca Raton, Florida 33431 at or prior to the closing of the Amended and Restated Share Exchange Agreement and Plan of Reorganization dated as of ​. The Closing shall be effective as of and upon the execution and delivery of the documents and the preferred stock contemplated by this Agreement.

"Vendor" or "Nubian" means Nubian Resources Ltd., a corporation organized under the laws of the Province of British Columbia and which is a reporting issuer in British Columbia, Alberta, Manitoba and Ontario.

Time and Place of the Closing; Buyer IPO. The closing of this Agreement and the transactions contemplated hereby (the “Closing”) shall take place on a date (the “Closing Date”) shall be immediately following the Buyer’s consummation of its initial public offering on The NASDAQ Stock Market or the NYSE:American Stock Exchange of Buyer Common Stock (the “Buyer IPO”) pursuant to a registration statement on Form S-1 (the “Registration Statement”) that is declared effective by the United States Securities and Exchange Commission (“SEC”). The Closing shall take place at the offices of the counsel to the Buyer or remotely via the exchange of documents and signatures as the Buyer and the ​ Shareholders mutually agreed upon, in writing. Notwithstanding the foregoing, the Closing Date shall occur on or before ​ (the “Outside Closing Date”), unless such Outside Closing Date shall be extended by mutual written agreement of Representative and the Buyer.

Time and Place of Exercise. The purchase and sale of the Shares under this Agreement shall occur at the principal office of the Company simultaneously with the execution and delivery of this Agreement in accordance with the provisions of [Section 3] of the Option Agreement. On such date, the Company will deliver to Purchaser a certificate representing the Shares to be purchased by Purchaser (which shall be issued in Purchaser’s name) against payment of the exercise price therefor by Purchaser by any method listed in [Section 4] of the Option Agreement.

Place and Date of Closing. The consummation of the transactions contemplated by this Agreement (the “Closing”) shall take place at such location as is agreed to between the parties, at a time mutually agreeable to the parties, or on such date as may be reasonably required to accommodate a satisfaction of the conditions precedent to Closing hereunder (the date of the Closing being referred to in this Agreement as the “Closing Date”) but in no event later than March ​, 2021 without consent of the parties.

Time, Place and Notice of PSR. The PSR shall take place at Contractor’s facility or Subcontractor’s facility, at Contractor’s discretion. Contractor shall notify Customer in writing on or before ten (10) Calendar Days prior to the date that the Batch of Customer Satellites will be available for the FAR,
