Third Party Agreements. Urovant shall remain solely responsible for the payment of royalty, milestone and other payment obligations, if any, due to Third Parties on (or in connection with) the sale of the Product in the Territory.

Third Party Agreements. Licensee acknowledges and agrees that it has received a copy of the Acorda Third Party Agreements listed in [Exhibit D], including the Elan License Agreement, and that the rights, licenses and sublicenses granted by Acorda to Licensee in this Agreement are subject to the terms of the Acorda Third Party Agreements and the rights granted to the Third Party counterparties thereunder. Licensee covenants to comply with, and to Certain portions of this Exhibit have been omitted pursuant to a request for confidentiality. Such omitted portions, which are marked with brackets ​ and an asterisk*, have been separately filed with the Securities and Exchange Commission.

Third Party Agreements. Upon Bausch Health’s request, Clearside shall reasonably assist Bausch Health in negotiating supply agreements with any of Clearside’s Third Party contract manufacturers for the Manufacture and supply of Product.

Third Party Agreements. If Acer executes any license or other agreement with any Third Party to facilitate the Exploitation of the Licensed Product in the Field in the Territory, Acer shall be responsible for all license fees, milestones, royalties or other payments due to such Third Party under such agreement.

Relay shall not provide the Lead Candidate to any Third Party, including any Third Party with whom Relay has an existing agreement, on or after the Effective Date. Promptly after the Effective Date, Relay will inform all Third Parties to whom Relay has previously provided the Lead Candidate pursuant to an existing agreement to discontinue use of the Lead Candidate ​. The foregoing sentences of this Section 12.6.1 will not apply to # use of the Lead Candidate as permitted under Relay’s agreement(s) with the Relay Phase Ia Trial CRO, # the use of the Lead Candidate by Relay, a Relay Combination Collaborator or Relay Subcontractor solely in connection with Relay’s pre-clinical Development activities to support Relay Pipeline Combinations, or # use of the Lead Candidate as permitted under the Supply Agreement or pursuant to Section 16.9.

Third Party Agreements. Neither Poseida nor any of its Affiliates has previously entered into, nor will enter into during the Term, any agreement, whether written or oral, with respect to the Licensed IP (including by granting any covenant not to sue with respect thereto) that would conflict with or otherwise diminish the rights granted to Takeda hereunder.

Third Party Agreements. The Applicable Bluebird In-Licenses are valid and binding obligations of Bluebird and, to the Knowledge of Bluebird, the applicable licensor, enforceable against Bluebird and, to the Knowledge of Bluebird, the applicable licensor, in CONFIDENTIAL TREATMENT REQUESTED BY BLUEBIRD BIO, INC.

If Client requests in writing that Parexel use a particular provider of materials or services in connection with the Services (a “Client-Designated Vendor”), then Parexel will contract with such Client-Designated Vendor unless Parexel ​, in which case Client may contract directly with such Client-Designated Vendor. Parexel shall not # have responsibility for the selection, instruction or supervision of any Client-Designated Vendor, or # be responsible for the acts, omissions, or performance (including willful misconduct) to the extent attributable to any Client-Designated Vendor. All Client Designated Vendor costs will be treated as a Pass Through Expenses and Parexel shall be responsible for payment to such Client Designated Vendor to the extent that Parexel has entered into a contract with such Client Designated Vendor or Parexel has agreed to act as payment agent pursuant to Section 4.5 and a Work Order.

Third Party Agreements. If aTyr so requests, and to the extent permitted under Kyorin's obligations to Third Parties on the effective date of termination, Kyorin will transfer to aTyr or its designated Third Party any Third Party agreements relating to the Development or Commercialization of the Reversion Products to which Kyorin is a party, subject to any required consents of such Third Party which Kyorin will use Commercially Reasonable Efforts to obtain promptly.

Intellia will be responsible for delivering all payments under the Intellia Existing Third Party Agreements to the applicable Third Party counterparty thereto. The amounts of such payments shall be borne by the Parties pursuant to [Section 7.5].
