Any unpaid Annual Bonus in respect to any completed fiscal year, which has ended prior to the date of such termination, which amount shall be paid at such time annual bonuses are paid to other senior executives of the Company.

A lump sum payment equal to 15 months of Executive’s then-current Base Salary;

Subject to satisfaction of the applicable performance objectives applicable under the Annual Bonus Plan for the fiscal year in which such termination occurs, an amount equal to # the Annual Bonus that Executive would otherwise have been entitled to receive under the Annual Bonus Plan (subject to and based on actual achievement of applicable performance objectives) had no such termination occurred, multiplied by # a fraction, the numerator of which is the number of days elapsed from the commencement of such fiscal year through the date of such termination and the denominator of which is 365 (the “Pro Rata Bonus”), which amount shall be paid at such time annual bonuses are paid to other senior executives of the Company, but in no event later than the 15th day of the third month months following the last day of the fiscal year in which such termination occurred.

An amount, if any, equal to # the Annual Bonus that Executive would otherwise have been entitled to receive under the Annual Bonus Plan (subject to and based on actual achievement of applicable business performance objectives and assuming full achievement of any individual or discretionary performance objectives) had no such termination occurred, multiplied by # a fraction, the numerator of which is the number of days elapsed from the commencement of such fiscal year through the date of such termination and the denominator of which is 365 (such amount, if any, the “Pro Rata Bonus”), which amount shall be paid at such time annual bonuses are paid to other senior executives of the Company, but in no event later than the 15th day of the third month following the last day of the fiscal year in which such termination occurred.
